File Schedule 13D, Schedule 13 G, and Corresponding Amendments

Log in to the EDGAR Online Forms website and follow these steps.

  1. Select either "Schedule 13D” or “Schedule 13G” on the left-hand side menu.
  2. On next page, select “Schedule 13D” or, if filing an amendment to a previously filed Schedule 13D, “Amendment to Schedule 13D.” If filing Schedule 13G select, “Schedule 13G” or, if filing an amendment to a previously filed Schedule 13G, “Amendment to Schedule 13G.”
    Note: Have your previous accession number ready if filing an amendment.
  3. Enter the information in each required field. Required fields are marked with an asterisk (*).
  4. Navigate through the sections of the Schedule 13D or Schedule 13G using the left-hand side menu to complete the filing, or by using the “Next” arrow at the bottom of the page.
  5. Additional documents, such as Exhibits to a Schedule 13D, may be attached under the Documents section.

For further reference. Consult your counsel and Regulation 13D-G in the Code of Federal Regulations to determine if you are required to report, and 17 CFR 240.13d-1 to determine whether to report using Schedule 13D (17 CFR 240.13d-101) or Schedule 13G (17 CFR 240.13d-102). Both schedules include instructions for complying with the respective disclosure requirements.
