Correct, withdraw, or delete a filing

SEC staff generally does not correct errors in EDGAR filings, nor does staff typically intervene in the filing process.

Filers should be prepared to correct the following matters through corrective disclosure--in other words, by filing a correction or amendment to the incorrect filing, or, if applicable, withdrawing a duplicate filing:

  • To correct the submission type. If a filing is submitted using the wrong submission type, the filer should refile the document using the correct submission type. SEC staff generally will not delete the original filing from the EDGAR system.
  • To correct the file number. If a filing includes an incorrect file number, a filer may refile the document with the correct file number. SEC staff generally will not correct the information on the EDGAR system.
  • To correct other information in a filing. If a filing is made containing incorrect text, the filer may refile the document with the correct information. Staff will not make pre- or post-acceptance changes to the text of filings.

In rare and unusual situations, the staff will consider requests to correct filing errors. To receive a call back to discuss the issue before submitting a written request for relief through EDGAR, please send an email to EDGARFilingCorrections@sec.gov with details about your particular filing matter, including the accession number, description of the issues that gave rise to the matter, and your contact information.

Staff will consider a request to correct EDGAR filing errors when the filer—not third parties such as filing agents—submits a written request via an EDGAR CORRESP submission. The request must be submitted under the company’s central index key (CIK) and signed by an authorized legal representative of the company.

In a request for header information changes, please provide the following information:

  • The name and CIK of the company;
  • The accession number of the filing that is the subject of the request;
  • The EDGAR submission type of the filing that is the subject of the request;
  • Identification of the specific error;
  • Identification of the correct information that the filer should have used; and
  • An affirmative request that we change the submission to correct the information.

Please ensure that your requests DO NOT CONTAIN any private or sensitive information such as EDGAR access codes or social security numbers.

We strongly encourage you to confirm your request for correction by sending an email to EDGARFilingCorrections@sec.gov. The email should include the accession number you received after you submitted the request to EDGAR, and a name and phone number for the person the SEC should contact regarding the request.

It can take several weeks to process form type or file number post-acceptance changes. Please check SEC Filings & Forms (EDGAR) to determine if the correction has been processed. If the correction does not appear within eight weeks, you may call the staff at (202) 551-3600, option 5, to follow-up.

Withdrawing Securities Act filings

  • To request withdrawal of a registration statement, you must submit a registration statement withdrawal request using EDGAR submission type “RW.”
  • To request withdrawal of a pre- or post-effective amendment, you must submit an amendment withdrawal request using EDGAR submission type “AW.”

Deleting filings

In very rare and unusual circumstances, SEC staff will consider requests to delete a filing from the EDGAR system. To receive a call back to discuss a request for filing deletion or other filing correction prior to submitting it through EDGAR, please send an email to EDGARFilingCorrections@sec.gov with details about your particular filing matter, including the accession number, description of the issues that gave rise to the matter, and your contact information.

If the SEC staff indicates that it will consider a request for a filing deletion, the filer—not third parties such as filing agents—should submit a written request via an EDGAR CORRESP submission. See EDGAR Filer Manual Volume II, Section 7 > Preparing and Transmitting EDGARLink Online Submissions > Correspondence Submissions and Documents).The request must be submitted under the company’s central index key (CIK) and signed by an authorized legal representative of the company. It also must include enough detail to justify the extraordinary request.

We strongly encourage you confirm your submission by sending an email to EDGARFilingCorrections@sec.gov. The email should include the accession number you received after you submitted the request to EDGAR and a name and phone number for the person the SEC should contact regarding the request.
