EDGAR Filing Fees

Nov. 8, 2022

You may have to pay filing fees to the SEC when you register certain types of securities, as indicated in the relevant securities registration forms. Please see the EDGAR Filer Manual, Volume II, Chapter 4.5.1 (PDF) for more information about EDGAR forms that require a filing fee payment.

You pay filing fees through EDGAR. Each filer who must pay filing fees has a filing fee account in EDGAR, and the filer is required to maintain its filing fee account. See 17 C.F.R. 202.3a(d). A filing fee account is also required for filers who will submit funds to the U.S. Treasury designated depository in anticipation of paying a filing fee.

You may view your EDGAR filing fee account, including the account balance, amount of last deposit, and account activity here.

Filing Fee Rates and Payments

Note that your filing acceptance may be delayed if:

  • Funds are not in your account when you file and the filing requires a fee
  • Funds are not sufficient due to a calculation error on your part
  • Your wire transfer does not contain the required information in the correct format

Filing Fee Disclosure and Payment Methods Modernization

Currently, filers are voluntarily able to present their filing fee exhibits in the Inline eXtensible Business Reporting Language (XBRL) structured format. The SEC encourages filers to take this opportunity before they must comply. Filers should note the next important dates regarding the SEC's Filing Fee Modernization Rule:

  • July 31, 2024—Large Accelerated Filers required to submit fee data in Inline XBRL format.
  • July 31, 2025—Compliance by all filers required, including certain investment companies that file registrations on Forms N-2 and N-14.

The resources below are provided for filers. Filers are strongly encouraged to review and familiarize themselves before contacting the SEC with additional questions.

  • SEC forms, schedules, and statements impacted include updated and detailed instructions on filing fee requirements for preparing a submission to EDGAR. The instructions generally appear under the heading “Calculation of Filing Fee Tables."
  • Filing Fee information can be found in the EFM Vol. II Chapter 4. (Filing Fee Information), 7.3.9.2 (Filing Fees Exhibit), and 7.3.10 (Preparing an Inline XBRL filing fees exhibit (EX-FILING FEES)).
