Updated Special Purpose Acquisition Company (SPAC) Taxonomy

Today, Staff published an updated SPAC taxonomy at Standard Taxonomies: Operating Companies. The updated taxonomy will be deployed as part of a forthcoming EDGAR Release and will include the following changes:

• Add the Over-allotment Option [Axis] to the dilution source link roles relating to SPAC dilution disclosure.
• Replace the Security Class [Axis] in certain roles relating to sponsor compensation with Compensation Nature [Axis] (logically a superset of Security Class [Axis]) so that filers can declare members needed for tagging non-security types of compensation.
• Add the following standard members to the Dilution Source domain based on additional observations of live filings:
  • Deferred Underwriting Commissions [Member]
  • Upfront Underwriting Fees [Member]
  • Overallotment Liability [Member]
  • Ordinary Shares Forfeited or Cancelled [Member]
• Deprecate the current Underwriting Fees [Member] in favor of distinct Deferred and Upfront Underwriting Fees members.
