IN THE MATTER OF THE CHILDREN'S BEVERAGE GROUP, INC.

The Securities and Exchange Commission ("Commission") instituted administrative proceedings against The Children's Beverage Group, Inc., a company headquartered in Northbrook, Illinois. The Division of Enforcement ("Division") alleges that The Children's Beverage Group failed to comply with Section 13(a) of the Securities Exchange Act of 1934 ("Exchange Act") and Rules 13a-1 and 13a-13 promulgated thereunder by failing to file any annual or quarterly reports with the Commission since it filed its March, 2001 Form 10-K. A hearing will be held before an administrative law judge to determine whether the Division's allegations are true and, if so, to determine whether it is necessary and appropriate for the protection of investors to suspend or revoke the registration of The Children's Beverage Group's securities.
