ORDER INSTITUTING PUBLIC ADMINISTRATIVE PROCEEDINGS PURSUANT TO SECTION 15(b)(6) OF THE SECURITIES EXCHANGE ACT OF 1934, MAKING FINDINGS AND IMPOSING REMEDIAL SANCTIONS

I.

The Securities and Exchange Commission ("Commission") deems it appropriate and in the public interest that public administrative proceedings be, and hereby are, instituted pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934 ("Exchange Act") against Respondent Bryan R. Brush ("Brush" or "Respondent").

II.

In anticipation of the institution of these proceedings, Respondent has submitted an Offer of Settlement ("Offer") which the Commission has determined to accept. Solely for the purpose of these proceedings and any other proceedings brought by or on behalf of the Commission, or to which the Commission is a party, and without admitting or denying the findings herein, except as to the Commission's jurisdiction over him and over the subject matter of these proceedings and the findings contained in paragraphs III.A. and III.B. below, which Respondent admits, Respondent consents to the entry of this Order Instituting Public Administrative Proceedings Pursuant to Section 15(b)(6) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions ("Order"), as set forth below.

III.

On the basis of this Order and Respondent's Offer, the Commission finds that:

    A. Brush, aged 25, was associated with Berry-Shino Securities, Inc. ("Berry-Shino"), a broker-dealer registered with the Commission, from March 20, 2001, to May 11, 2001.

    B. On September 4, 2002, Brush pled guilty to a misdemeanor before a Magistrate Judge of the United States District Court for the Southern District of New York, to a criminal information captioned United States v. Bryan Brush, 02 Cr. 772. The criminal information charged Brush with receiving something of value in consideration for not informing the authorities about a violation of the federal securities laws in violation of Title 18, United States Code Section 873. On December 23, 2002, Brush was sentenced to probation and a $1,000 fine.

    C. While Brush was associated with Berry-Shino, he improperly promoted investments in two unregistered offerings of securities, one by Netline Internet Solutions, LLC, and the other by New Connects, Inc.

IV.

Based on the foregoing, the Commission deems it appropriate and in the public interest to accept Respondent's Offer.

Accordingly, IT IS HEREBY ORDERED,

Pursuant to Section 15(b)(6) of the Exchange Act, that Respondent Bryan R. Brush be, and hereby is, barred from association with any broker or dealer.
