EDGAR Release 22.2
On June 21, 2022, EDGAR Release 22.2 introduced the following changes:
- In connection with Release 34-93701, the Holding Foreign Companies Accountable Act Disclosure (HFCAA), EDGAR will be updated to include the following new submission form type that will allow registrants to indicate that they are not owned or controlled by a governmental entity in a foreign jurisdiction:
- SPDSCL
The final amendment of the rule required that filers submit documentation in an appropriate public EDGAR submission. In order to simplify the submission process, EDGAR has been updated to provide the SPDSCL submission type which allows the filer to select a category that clearly indicates that the filer is providing documentation that it is not controlled by a foreign government. While filers may choose to include the documentation in public filings other than Forms 20-F, 40-F, 10-K, and N-CSR, like a 6-K or 8-K, this submission allows both the public and the SEC staff to more readily identify the required documentation.
The new submission form type is accessible by selecting the "EDGARLink Online Form Submission" link on the EDGAR Filing Website. Additionally, filers may construct XML submissions for this submission form type by following the "EDGARLink Online XML Technical Specification" document available on https://www.sec.gov/edgar/filer-information/current-edgar-technical-specifications. See Chapter 3 (Index to Forms), Chapter 7 (Preparing and Transmitting EDGARLink Online Submissions), and Appendix C (EDGAR Submission Types) of the EDGAR Filer Manual, Volume II: "EDGAR Filing." The filer should select a Category of “HFCAA-GOV.”
- The Commission has issued substituted compliance orders permitting certain foreign firms to file their annual audit pursuant to their home country’s laws rather than pursuant to the Commission’s rules, as long as they also send a copy of such annual financial statements to the Commission in the manner specified on the Commission’s website. In accordance with these orders, the “Oath or Affirmation” and “Notary Public” sections of the Form X-17A-5 Part III will not be viewable by foreign non-broker-dealer security-based swap dealers and major security-based swap participants relying on a Commission substituted compliance order. EDGAR was updated to support the IFRS 2022 and VIP 2022Q2 taxonomies. Additionally, we are removing the versions from the earliest year of all XBRL taxonomies for which there are currently versions from three years outstanding. - As part of Release 33-10532, Disclosure Update and Simplification (DUSTR), the following exhibits are rescinded and removed from the “Type” drop down menu on the documents tab and filer constructed submission:

- Filers who have a file number beginning with 001- may now use submission form types 15-12G and 15-12G/A to give notice of termination of registration of a class of securities under Section 12(g) of the Securities Exchange Act of 1934. Submission form types 15-12B and 15-12B/A are revoked.
- Technical corrections were made to sections 6.5.21, 6.5.40, 6.5.55, 6.5.56, and 6.16.11 of Volume II of the Filer Manual to clarify data validations for submissions by investment companies registered on Forms N-1A, N-2, and N-3.
- The EDGAR Filer Manual has been revised to address software changes made previously in EDGAR:
- On April 18, 2022, EDGAR Release 22.1.1 introduced the following changes:
- EDGAR was updated to prevent a firm from amending another firm’s MA‑I.
- The N-CEN XML schema eis_Common.xsd file was updated to correct the attachment list.
- On May 31, 2022, EDGAR Release 22.1.2 introduced the following change:
- On October 13, 2021, the Commission adopted rules to modernize filing fee disclosure and payment methods as part of Release 33-10997. On May 31, 2022, EDGAR was updated to allow filers to pay filing fees via credit card, debit card, and Automated Clearing House (ACH) debit payment methods. After filers login to submit their payments, EDGAR now relies on Pay.gov to perform the payment processing for ACH and debit and credit card payments. The lockbox for the receipt of checks is no longer available. Checks will be returned to the sender.
