SEC Charges Former CEO of Private Technology Company Invenia with $120 Million Offering Fraud

The Securities and Exchange Commission today charged Matthew Derrick Hudson, the former CEO and co-founder of Canadian private technology company Invenia Technical Computing Corporation, with fraudulently raising approximately $120 million from U.S.-based investors.

According to the SEC’s complaint, from at least October 2020 through January 2022, Hudson conducted two funding rounds in which he made material misrepresentations to investors about Invenia’s financial condition and performance, including by creating and providing investors with falsified financial statements, invoices, and other documents. As alleged, Hudson dramatically inflated key financial metrics of the company such as its gross revenue, net income, and cash on hand. The complaint further alleges that one of the funding rounds was never authorized by Invenia’s board of directors. To carry out that offering, Hudson allegedly provided investors with, among other things, fake investor lists, board resolutions, and closing documents, including one set of closing documents that contained the forged signatures of various other purported investors.

The SEC's complaint, filed in the U.S. District Court for the Northern District of California, charges Hudson with violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Section 17(a) of the Securities Act of 1933. The SEC seeks permanent injunctions, including a conduct-based injunction, disgorgement plus prejudgment interest, civil penalties, and an officer and director bar.

The SEC’s investigation was conducted by Yoona Kim and supervised by David Zhou and Jason H. Lee of the San Francisco Regional Office. The SEC’s litigation will be led by Anthony Moreno and Ms. Kim and supervised by Jason M. Bussey.
