Commission announcementsSEC Approves New Rule Requiring Consolidated Audit Trail to Monitor and Analyze Trading ActivityThe Securities and Exchange Commission today voted to require the national securities exchanges and the Financial Industry Regulatory Authority (FINRA) to establish a market-wide consolidated audit trail that will significantly enhance regulators’ ability to monitor and analyze trading activity. The new rule adopted by the Commission requires the exchanges and FINRA to jointly submit a comprehensive plan detailing how they would develop, implement, and maintain a consolidated audit trail that must collect and accurately identify every order, cancellation, modification, and trade execution for all exchange-listed equities and equity options across all U.S. markets. Currently, there is no single database of comprehensive and readily accessible data regarding orders and executions. Each SRO instead uses its own separate audit trail system to track information relating to orders in its respective markets. Existing audit trail requirements vary significantly among markets, which means that regulators must obtain and merge together large volumes of disparate data from different entities when analyzing market activity. “A consolidated audit trail that accurately tracks orders throughout their lifecycle and identifies the broker-dealers handling them will provide us with an unprecedented ability to effectively oversee the markets we regulate,” said SEC Chairman Mary Schapiro. A consolidated audit trail will increase the data available to regulators investigating illegal activities such as insider trading and market manipulation, and it will significantly improve the ability to reconstruct broad-based market events in an accurate and timely manner. A consolidated audit trail also will significantly increase the ability of regulators to monitor overall market structure and assess how SEC rules are affecting the markets, and will reduce the regulatory data production burdens on SROs and broker-dealers by reducing the number of ad hoc requests from regulators presently. The new rule becomes effective 60 days after its publication in the Federal Register. SROs are required to submit the NMS plan to the Commission within 270 days of the rule’s publication in the Federal Register. Once the Commission approves the NMS plan, the SROs are required to report the required data to the central repository within one year, and members of the SROs are required to report within two years. Certain small broker-dealers will have up to three years to report the data. (Press Rel. 2012-134) Enforcement proceedingsIn the Matter of Ohio Ferro Alloys Corp.An Administrative Law Judge has issued an Order Making Findings and Revoking Registrations by Default (Default Order) in Ohio Ferro Alloys Corp., Admin. Proc. File No. 3-14900. The Order Instituting Proceedings alleged that Respondents repeatedly failed to file timely periodic reports while their securities were registered with the Securities and Exchange Commission. The Default Order finds these allegations to be true as to Ohio Ferro Alloys Corp., Orbcomm Corp., Outboard Marine Corp., Oz Communications, Inc., Penn-Pacific Corp., Peoples Community Bancorp, Inc., Performance Health Technologies, Inc., and Petals Decorative Accents, Inc., and revokes the registration of each class of their registered securities, pursuant to Section 12(j) of the Securities Exchange Act of 1934. For Failure to Make Required Periodic FilingsOn July 11, 2012, the Commission revoked the registration of each class of registered securities of Ariel Way, Inc. (AWYI) for failure to make required periodic filings with the Commission. Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, AWYI consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Ariel Way, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of AWYI’s securities pursuant to Section 12(j) of the Exchange Act. DeruThe United States Securities and Exchange Commission (Commission) announced the issuance of an Order Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order Pursuant to Section 8A of the Securities Act of 1933, Sections 15(b) and 21C of the Securities Exchange Act of 1934, Sections 203(e), 203(f) and 203(k) of the Investment Advisers Act of 1940, and Section 9(b) of the Investment Company Act of 1940 as to Belsen Getty, LLC (Belsen Getty) and Terry M. Deru (Deru) (Order). The Division of Enforcement alleged that Belsen Getty, a registered investment adviser, and Deru, Belsen Getty’s managing member violated various provisions of the federal securities laws through numerous instances of failure to disclose conflicts, breaches of fiduciary duty, and misrepresentations or omissions to Belsen Getty clients. The Division of Enforcement alleged that in November 2006, Deru became involved in founding Nine Mile Software, Inc. (“Nine Mile”), a software company. Deru was a major shareholder in Nine Mile. Deru obtained start-up money for Nine Mile by selling restricted Nine Mile stock to Belsen Getty clients and others. Nine Mile commenced an initial public offering of its common stock in November 2007. The vast majority of the offering (92%) was sold to Belsen Getty clients, based on advice from Deru. In October and November 2008, Belsen Getty, using its discretionary trading authority, effected trades of Nine Mile stock in client accounts without informing the clients of risk or conflicts. Belsen Getty, through Deru, also recommended to its clients other high-risk investments in which Deru had a financial interest while making material misrepresentations or omissions about the investments. The Order finds that Deru and Belsen Getty shall cease and desist from committing or causing any violations and any future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, Sections 206(1) and 206(2) of the Advisers Act and Sections 204(a), 204A and 206(4) of the Advisers Act and Rules 204-2(a)(7), 204A-1 and 206(4)-7 promulgated thereunder. The Order further finds that Deru shall cease and desist committing or causing any violations and any future violations of Section 206(3) of the Advisers Act.
