Enforcement proceedingsIn the Matter of Ross MandellAn Administrative Law Judge has issued an Initial Decision in Ross Mandell, Admin. Proc. File No. 3-14981. On July 26, 2011, Ross Mandell (Mandell) was found guilty of securities fraud in violation of 15 U.S.C. §§ 78j(b), 78ff, 17 C.F.R. § 240.10b-5, 18 U.S.C. § 2; mail fraud in violation of 18 U.S.C. §§ 2, 1341; wire fraud in violation of 18 U.S.C. §§ 2, 1343; and conspiracy to commit offenses against the United States, namely securities fraud, mail fraud, and wire fraud in violation of 18 U.S.C. § 371, before the United States District Court for the Southern District of New York in United States v. Mandell, No. 09-cr-662. On May 7, 2012, a final judgment was entered sentencing Mandell to a prison term of 144 months followed by three years of supervised release and ordering him to pay a $400 assessment, $10,000 fine, and $50 million in forfeiture. Mandell was also held jointly and severally liable for over $24 million in restitution. Based on the final judgment, the Initial Decision bars Mandell, pursuant to Section 15(b) of the Securities Exchange Act of 1934, from association with a broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. (Initial Decision No. 478; File No. 3-14981) In the Matter of HealthSport, Inc.An Administrative Law Judge has issued an Order Making Findings and Revoking Registrations by Default (Default Order) in HealthSport, Inc., Administrative Proceeding File No. 3-15117. The Order Instituting Proceedings alleged that HealthSport, Inc., Home Director, Inc., Home Theater Products International, Inc., House of Taylor Jewelry, Inc. (n/k/a Global Jewelry Concepts, Inc.), and Huifeng Bio-Pharmaceutical Technology, Inc., (collectively, Respondents) repeatedly failed to timely file periodic reports while their securities were registered with the Securities and Exchange Commission. The Default Order finds these allegations to be true and revokes the registration of each class of Respondents’ registered securities, pursuant to Section 12(j) of the Securities Exchange Act of 1934. (Rel. 34-68564; File No. 3-15117) Commission Revokes Registration of Securities of Ensurapet, Inc. for Failure to Make Required Periodic FilingsOn January 3, 2013, the Commission revoked the registration of each class of registered securities of Ensurapet, Inc. (EPTI) for failure to make required periodic filings with the Commission. Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, EPTI consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Ensurapet, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of EPTI’s securities pursuant to Section 12(j) of the Exchange Act. (Rel. 34-68566; File No. 3-15076) Delinquent Filers’ Stock Registrations RevokedThe registrations of the registered securities of Encore Clean Energy, Inc., Energy & Engine Technology Corp., Equity Media Holdings Corporation, eTotalSource, Inc., Firepond, Inc., and GNC Energy Corporation have been revoked. Each had repeatedly failed to file required annual and quarterly reports with the Securities and Exchange Commission. Thus, each violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. The revocations were ordered in an administrative proceeding before an administrative law judge. (Rel. 34-68567; File No. 3-15110) District Court Enters Final Judgment of Permanent Injunction and Orders a Civil Penalty Against Defendant Yan K. Skwara and Default Judgment Against Defendant US Farms, Inc.The Commission announced that on January 2, 2013, the United States District Court for the Southern District of Florida entered a Final Judgment of Permanent Injunction by consent, against Defendant Yan K. Skwara enjoining him from violations of Section 10(b) and Rule 10b-5 of the Securities Exchange Act of 1934 (“Exchange Act”) and Section 17(a) of the Securities Act of 1933 (“Securities Act”). United States District Judge Robin S. Rosenbaum ordered Yan K. Skwara, CEO, President, CFO, and Chairman of US Farms, Inc., to pay Disgorgement, Prejudgment Interest and a Civil Penalty pursuant to Section 21(d)(3) of the Exchange Act and Section 20(d) of the Securities Act. The Final Judgment orders Defendant Skwara to pay disgorgement in the amount of $28,000, prejudgment interest of $3,372.57 and imposes a civil penalty of $28,000 for a total of $59,372.57. United States District Judge Robin S. Rosenbaum entered a permanent injunction by default against US Farms, Inc. enjoining them from violations of Section 10(b) and Rule 10b-5 of the Securities Exchange Act of 1934 (“Exchange Act”) and Section 17(a) of the Securities Act of 1933 (“Securities Act”). Judge Rosenbaum ordered US Farms, Inc. to pay disgorgement in the amount of $28,000 and prejudgment interest of $3,372.57 for a total of $31,372.57. The Commission commenced this action by filing its Complaint on June 4, 2012, against Yan K. Skwara and US Farms, Inc. The Complaint alleges that Defendants Skwara and US Farms, Inc. engaged in a fraudulent scheme involving the company’s stock, illicit kickbacks, and phony agreements to mask those kickbacks. [SEC v. Yan K. Skwara et al.., Civil Action No. 12-61078-CIV- Rosenbaum/Seltzer, (S.D. Fla.)] (LR-22584) Commission Charges California Company and CEO with Defrauding Investors in Nevada Gold Mining VentureThe Securities and Exchange Commission today filed fraud charges against a California-based mining company and its CEO who induced hundreds of investors to pour $16 million into a fruitless gold mining venture. The SEC alleges that Nekekim Corporation and Kenneth Carlton defrauded investors with representations that a special “complex ore” found at Nekekim’s mine site in Nevada contained gold deposits worth at least $1.7 billion. Carlton highlighted test results produced by two small labs that used unconventional methods to test the ore for gold, but he withheld from investors other tests conducted by different firms that suggested the Nekekim mine site held little if any gold. The small labs’ reliability also had been called into doubt by geologists and a government study. Yet as Nekekim failed to produce any mining revenue, Carlton gave shareholders false hope that the company was close to perfecting the custom method it supposedly needed to extract gold from its special ore. Carlton agreed to settle the SEC’s charges. According to the SEC’s complaint filed in federal court in Fresno, Calif., Nekekim succeeded in attracting investors from 2001 to 2011 in such U.S. states as California, Florida, and New Jersey as well as foreign countries including Canada, Australia, and Singapore. Carlton falsely represented to investors that a “physicist” who in reality had no scientific training helped develop a confidential gold extraction technique licensed by Nekekim. Carlton also promoted a series of other supposedly promising extraction methods in frequent reports to shareholders. In one newsletter, he touted: “A NEW GOLD RECOVERY PROCESS IS SUCCESSFUL.” As each of these methods actually failed, Carlton’s reports grossly overstated Nekekim’s progress toward profitability while prompting shareholders to invest more money in the company. Carlton, who lives in Clovis, Calif., agreed to a judgment requiring him to pay a $50,000 penalty and prohibiting him from selling securities for Nekekim or managing the company. He also will be prohibited from further violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Nekekim, based in Madera, Calif., agreed to a judgment prohibiting the same violations and requiring disclosure of these sanctions in any offering of securities for the next three years.
