In the Matter of UBS Financial Services Inc. of Puerto Rico

On July 5, 2012, the Commission issued an Order Extending Time to Retain an Independent Third-Party Consultant (Order) In the Matter of UBS Financial Services Inc. of Puerto Rico (UBS PR). The Order allows additional time as necessary for UBS PR to retain an independent third-party consultant, not unacceptable to the staff of the Commission, and UBS PR consented to do so by August 10, 2012. In the Matter of Aegis Assessments, Inc., APC Group, Inc., Aurelio Resource Corp., and Fonix Corporation

On July 6, 2012, an Administrative Law Judge issued an Order Making Findings and Revoking Registrations by Default as to Four Respondents (Default Order) in Aegis Assessments, Inc., Admin. Proc. 3-14911. The Default Order finds that Aegis Assessments, Inc., APC Group, Inc., Aurelio Resource Corp., and Fonix Corporation, issuers of securities registered pursuant to Section 12(g) of the Securities Exchange Act of 1934 (Exchange Act), have failed to comply with Section 13(a) of the Exchange Act and Exchange Act Rules 13a-1 and 13a-13 by failing to file required periodic reports with the Securities and Exchange Commission. As a result, the Administrative Law Judge revoked the registration of each class of registered securities of these Respondents.

On June 21, 2012, the fifth Respondent, BioAuthorize Holdings, Inc., filed a Form 15, Notice of Termination of Registration under Section 12(g) of the Exchange Act. Barring unforeseen circumstances, the voluntary termination of registration will become effective in ninety days. (Rel. 34-67360; File No. 3-14911)

In the Matter of Superior Bancorp

On July 6, 2012, the Commission issued an Order Instituting Proceedings, Making Finds, and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Act of 1934 (Order) against Superior Bancorp. The Order finds that Superior Bancorp is a Delaware corporation located in Birmingham, Alabama. The common stock of Superior was registered under Exchange Act Section 12 and was quoted on OTC Link operated by OTC Markets Group, Inc. Superior failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder because it had not filed any periodic reports with the Commission since the period ended September 30, 2010. The Order revokes the registration of each class of Superior Bancorp’s securities registered pursuant to Section 12 of the Securities Exchange Act of 1934. Superior Bancorp consented to the issuance of the Order. (Rel. 34-67361; File No. 3-14938)

SEC Charges Company, CEO, and Stock Promoter With Market Manipulation

The Securities and Exchange Commission announced today that it charged Axius, Inc., its President and CEO, Roland Kaufmann, and stock promoter Jean-Pierre Neuhaus with engaging in a fraudulent broker bribery scheme designed to manipulate the market for Axius’ common stock. The Commission’s complaint, filed in federal court in Brooklyn, alleges that beginning in at least January 2012, Kaufmann and Neuhaus engaged in an undisclosed kickback arrangement with an individual (“Individual A”) who claimed to represent a group of registered representatives with trading discretion over the accounts of wealthy customers. Kaufmann and Neuhaus promised to pay kickbacks of between 26% and 28% to Individual A and the registered representatives he purported to represent in exchange for the purchase of up to $5 million of Axius stock through the customers’ accounts.

The complaint further alleges that on February 16 and 17, 2012, Kaufmann instructed Individual A to purchase approximately 14,000 shares of Axius stock for a total of approximately $49,000 through matched trades using detailed instructions concerning the size, price and timing of the purchase orders. Thereafter, Kaufmann paid Individual A bribes of approximately $13,700.

The complaint charges Neuhaus, Kaufmann, and Axius with violating Section 17(a)(1) and (a)(3) of the Securities Act of 1933 and Sections 9(a)(1) and 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5(a) and (c). The Commission seeks permanent injunctive relief, disgorgement of ill-gotten gains, plus pre-judgment interest, and civil penalties from all defendants, an order prohibiting Neuhaus and Kaufmann from participating in any offering of penny stock, and an order prohibiting Kaufmann from serving as an officer or director of a public company.
