Securities and Exchange Commission Suspends Trading in the Securities of Four Issuers For Failure to Make Required Periodic Filings

The U.S. Securities and Exchange Commission announced the temporary suspension of trading in the securities of the following issuers, commencing at 9:30 a.m. EDT on May 23, 2012 and terminating at 11:59 p.m. EDT on June 6, 2012.

Savoy Resources Corp. (SVYR)
SNRG Corp. (SNRG)
Standard Mobile, Inc. (SDML)
VTEX Energy, Inc. (VXEN)

The Commission temporarily suspended trading in the securities of these four issuers due to a lack of current and accurate information about the companies because they have not filed periodic reports with the Commission in over two years. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act).

The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by these companies.

Brokers and dealers should be alert to the fact that, pursuant to Exchange Act Rule 15c2-11, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of these companies that have been subject to a trading suspension until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. Any broker or dealer with questions regarding the rule should contact the staff of the Securities and Exchange Commission in Washington, DC at (202) 551-5720. If any broker or dealer enters any quotation which is in violation of the rule, the Commission will consider the need for prompt enforcement action.

Enforcement Proceedings

Commission Orders Hearings on Registration Suspension or Revocation Against Four Companies for Failure to Make Required Periodic Filings

In conjunction with these trading suspensions, the Commission today also instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registration of each class of the securities of four companies for failure to make required periodic filings with the Commission:

Savoy Resources Corp. (SVYR)
SNRG Corp. (SNRG)
Standard Mobile, Inc. (SDML)
VTEX Energy, Inc. (VXEN)

In this Order, the Division of Enforcement (Division) alleges that the respective Respondents are delinquent in their required periodic filings with the Commission.

In these proceedings, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The judge in the proceedings will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in the proceedings issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. In the Matter of James E. Putman

On May 23, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940 and Notice of Hearing (Order) against James E. Putman. The Division of Enforcement alleges that on April 24, 2012, a Judgment was entered against Putman, the President of Wealth Management LLC, an investment adviser formerly registered with the Commission, in the Commission’s civil action against Putman in United States District Court, enjoining Putman from violating certain provisions of the federal securities laws. The Division of Enforcement further alleges that the Commission’s complaint alleged that Putman engaged in fraud by, among other things, improperly accepting $1.24 million in undisclosed payments derived from certain investments made by four of the six unregistered funds managed by Wealth Management LLC while continuing to cause clients to invest in those funds.

In these proceedings, a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division of Enforcement and the Respondent to determine whether the allegations of the Division of Enforcement are true. The Commission ordered that the Administrative Law Judge in the proceedings issue an initial decision no later than 210 days from the date of service of the order instituting proceedings. (Rel. Charles P. Morrison, CPA Reinstated to Appear and Practice Before the Commission as an Accountant Responsible For the Preparation or Review of Financial Statements Required to Be Filed With the Commission

Pursuant to Rule 102(e)(5)(i) of the Commission's Rules of Practice, Charles P. Morrison, CPA has applied for and been granted reinstatement of his privilege to appear and practice before the Commission as an accountant responsible for the preparation or review of financial statements required to be filed with the Commission. Mr. Morrison was suspended from appearing or practicing before the Commission as an accountant on January 31, 2001. His reinstatement is effective immediately. Frank D. Edwards, CA Reinstated to Appear and Practice Before the Commission as an Accountant Responsible For the Preparation or Review of Financial Statements Required to Be Filed With the Commission

Pursuant to Rule 102(e)(5)(i) of the Commission's Rules of Practice, Frank D. Edwards, CA has applied for and been granted reinstatement of his privilege to appear and practice before the Commission as an accountant responsible for the preparation or review of financial statements required to be filed with the Commission. Mr. Edwards was suspended from appearing or practicing before the Commission as an accountant on December 27, 2004. His reinstatement is effective immediately. Investment Company Act Releases

GPS Funds I, et al.

An order has been issued on an application filed by GPS Funds I, GPS Funds II, and Genworth Financial Wealth Management, Inc. under Section 12(d)(1)(J) of the Investment Company Act (Act) for an exemption from Sections 12(d)(1)(A) and (B) of the Act, under Sections 6(c) and 17(b) of the Act for an exemption from Section 17(a) of the Act, and under Section 6(c) of the Act for an exemption from Rule 12d1-2(a) under the Act. The order permits (a) certain registered open-end management investment companies that operate as “funds of funds” to acquire shares of certain registered open-end management investment companies and unit investment trusts that are within and outside the same group of investment companies as the acquiring investment companies, and (b) funds of funds relying on Rule 12d1-2 under the Act to invest in certain financial instruments. Invesco Total Property Market Income Fund and Invesco Advisers, Inc.

An order has been issued on an application filed by Invesco Total Property Market Income Fund and Invesco Advisers, Inc. under Section 6(c) of the Investment Company Act of 1940 (Act) for an exemption from Section 19(b) of the Act and Rule 19b-1 under the Act. The order permits certain registered closed-end investment companies to make periodic distributions of long-term capital gains with respect to their outstanding common shares as frequently as monthly in any one taxable year, and as frequently as distributions are specified by or in accordance with the terms of any outstanding preferred shares that such investment companies may issue. A proposed rule change filed by NASDAQ OMX BX, Inc. to Rule 4751(f)(7) concerning the processing of the Price to Comply Order (SR-BX-2012-032) has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. A proposed rule change filed by NYSE Amex LLC amending its Certificate of Formation, Amended and Restated Operating Agreement, Company Guide, and Rules to change the name of the Exchange to NYSE MKT LLC (SR-NYSEAmex-2012-32) has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. Approval of Proposed Rule Change

The Commission has approved a proposed rule change (SR-FINRA-2012-011), filed by the Financial Industry Regulatory Authority, Inc., to amend FINRA Rule 14107 of the Code of Mediation Procedure to provide the Director of Mediation with discretion to determine whether parties to a FINRA mediation may select a mediator who is not on FINRA’s mediator roster.
