Administrative Proceeding Instituted Against Vladimir Boris Bugarski, Vladislav Walter Bugarski, and Aleksander Negovan Bugarski
The Commission announced that on August 1, 2011, it issued an Order Instituting Public Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Notice of Hearing (Order or OIP) against Vladimir Boris Bugarski (Boris), Vladislav Walter Bugarski (Walter) and Aleksander Negovan Bugarski (Aleks) (jointly Respondents). The Division of Enforcement alleges in the Order that on June 27, 2011, in a civil action in the United States District Court for the Central District of California, Western Division, entitled: Securities and Exchange Commission v. mUrgent Corporation, Vladimir Boris Bugarski, et al., Civil Action No. 11-CV-00626-DOC (SSx), a judgment was entered against Respondents enjoining them from future violations of Sections 5 and 17(a) of the Securities Act of 1933 (Securities Act), Sections 10(b) and 15(a) of the Exchange Act and Rule 10b-5 thereunder. Respondents were each also prohibited pursuant to Section 21(d)(2) of the Exchange Act from acting as an officer or director of any issuer that has a class of securities registered pursuant to Section 12 of the Exchange Act or that is required to file reports pursuant to Section 15(d) of the Exchange Act.
The Order finds that the Commission’s Complaint alleged that since at least 2008, mUrgent Corporation, a family-controlled, private company located in Santa Ana, California, and Respondents as its principals raised approximately $9.6 million from at least 130 investors through unregistered offerings by making material misrepresentations and omissions concerning the company’s financing plans and business performance. The Complaint further alleged that Respondents created and utilized a “boiler-room” to sell mUrgent stock.
A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the OIP are true, to afford Respondents an opportunity to respond, and to determine what, if any, remedial sanctions are appropriate and in the public interest.
The OIP requires the Administrative Law Judge to issue an initial decision no later than 210 days from the date of service of the Order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. (Rel. 34-65003; File No. 3-14496)
Commission Revokes Registration of Securities of Powerraise, Inc. for Failure to Make Required Periodic Filings
On August 2, 2011, the Commission revoked the registration of each class of registered securities of PowerRaise, Inc. (PORS) for failure to make required periodic filings with the Commission.
Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, PORS consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to PowerRaise, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of PORS’s securities pursuant to Section 12(j) of the Exchange Act. This Order settled the charges brought against PORS in In the Matter of Aqua Society, Inc., et al., Administrative Proceeding File No. 3-14463.
Brokers and dealers should be alert to the fact that Exchange Act Section 12(j) provides, in pertinent part, as follows:
For further information see Order Instituting Administrative Proceedings and Notice of Hearing Pursuant to Section 12(j) of the Securities Exchange Act of 1934, In the Matter of Aqua Society, Inc., et al., Administrative Proceeding File No. 3-14463, Exchange Act Release No. 64871 (July 13, 2011). (Rel. 34-65004; File No. 3-14463)
In the Matter of James E. Pratt
On August 2, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Makings Findings and Imposing Remedial Sanctions (Order) against James E. Pratt. The Order finds that Mr. Pratt is and has been an attorney licensed to practice in the state of New York. On May 4, 2011, the court entered an order permanently enjoining Mr. Pratt, by consent, from future violations of Sections 5(a) and 5(c) of the Securities Act of 1933. The Commission’s complaint alleged, among other things, that Mr. Pratt worked with co-defendants Frank Calmes, Lynn Rowntree, and Manny Shulman to distribute shares of newly quoted micro-cap companies to the public without the required registration statements being filed with the Commission. The Complaint further alleged that as part of this process, Mr. Pratt obtained shares in these micro-cap companies and sold the shares despite the fact that no registration statement had been filed or was in effect with the Commission with respect to the shares. In addition, the Complaint alleged that Pratt wrote letters to the companies’ transfer agents falsely stating that the shares he held, and those held by the co-defendants, were exempt from the registration requirements of the federal securities laws.
Based on the above, the Order suspends James E. Pratt from appearing or practicing before the Commission as an attorney. Mr. Pratt consented to the issuance of the Order without admitting or denying any of the findings in the Order, except he admitted the entry of the injunction. (Rel. 34-65005; File No. 3-14494)
In the Matter of Scott F. Gelbard
On August 2, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act), Making Findings, and Imposing Remedial Sanctions (Order) against Scott F. Gelbard.
The Order finds that on July 26, 2011, in the civil action SEC v. The Regency Group, LLC, et al., Civil Action No. 09-cv-00497, the United States District Court for the District of Colorado entered a final judgment by consent against Gelbard, permanently enjoining him from future violations of: (1) the anti-fraud provisions of Exchange Act Section 10(b), Exchange Act Rule 10b-5, and Section 17(a) of the Securities Act of 1933 (Securities Act); (2) the securities registration provisions of Securities Act Sections 5(a) and 5(c); (3) the broker-dealer registration provisions of Section 15(a) of the Exchange Act; and (4) the securities ownership disclosure provisions of Exchange Act Sections 13(d) and 16(a), and Rules 13d-1(a), 13d-2(a), and 16a-3 thereunder.
The Order further finds that Gelbard, age 35, was a member of The Regency Group, LLC, a Colorado limited liability company. According to the Order, the Commission's complaint, filed on March 9, 2009 (Complaint), alleges that Gelbard acted as an underwriter in the unregistered distribution of shares in Xpention Genetics, Inc. (Xpention) and HS3 Technologies, Inc. (HS3) stock. The Complaint also alleges that Gelbard acted as an unregistered dealer by selling Xpention and HS3 shares to investors -- from an acquired inventory of shares -- for his own account and to raise funds for his clients Xpention and HS3, as part of his regular businesses. The Complaint further alleges that, as part of his regular businesses, Gelbard solicited investors to buy such shares, handled their money, and directed the transfer of shares to them. The Order finds that Gelbard’s unregistered dealer activities occurred from at least 2004 through 2007.
The Order bars Gelbard from association with any broker or dealer, based on the injunctions entered against him. The respondent consented to the issuance of the Order without admitting or denying the findings in the Order, except as to the entry of the civil injunctions.

In the Matter of Franz N. Tudor
The Securities and Exchange Commission announced today that on July 26, 2011, the Honorable Richard J. Sullivan of the United States District Court for the Southern District of New York, entered a final judgment against Franz Tudor in SEC v. Tudor, 10-CV-8598, an insider trading case the SEC filed on November 12, 2010. The SEC charged Tudor, who was a registered representative and a proprietary trader at the broker-dealer Schottenfeld Group, LLC, with using inside information to trade ahead of the November 29, 2009 announced acquisition of Axcan Pharma Inc.
In its complaint, the SEC alleged that Arthur Cutillo and Brien Santarlas, two former attorneys with the international law firm of Ropes & Gray LLP, misappropriated from their law firm material, nonpublic information concerning the acquisition of Axcan, and tipped the inside information, through another attorney, to Zvi Goffer, a proprietary trader at Schottenfeld, in exchange for kickbacks. The SEC further alleged that Goffer tipped the inside information to Tudor, who traded in the securities of Axcan.
To settle the SEC’s charges, Tudor consented to the entry of a final judgment that: (i) permanently enjoins him from violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder; and (ii) orders him to pay disgorgement of $70,807, plus prejudgment interest of $7,331. No penalty was imposed based on Tudor’s sworn financial statements. In a related SEC administrative proceeding, Tudor consented, without admitting or denying the findings in the Order, to the entry of an SEC Order barring him from association with any investment adviser, broker, dealer, municipal securities dealer, or transfer agent. Tudor previously pled guilty to charges of securities fraud and conspiracy to commit securities fraud in a related criminal case, United States v. Franz Tudor, 09-CR-1057 (S.D.N.Y.), and is awaiting sentencing. (Rel. 34-65009; File No. 3-14497); [SEC v. Franz Tudor, Civil Action No. 10-CV-8598 (S.D.N.Y.) (RJS)] (LR-22056)

SEC Charges Biopharmaceutical Company, Executives, and Others with Securities Fraud
The Securities and Exchange Commission announced that on August 1, 2011, it charged Immunosyn Corporation (Immunosyn) and Argyll Biotechnologies, LLC (Argyll), both based in San Diego, California, with securities fraud in connection with materially misleading statements during 2006-2010 regarding the status of regulatory approvals for Immunosyn’s sole product, a drug derived from goat blood referred to as “SF-1019.” The Commission also charged Stephen D. Ferrone (Ferrone), of Lake Forest, Illinois, who was Immunosyn’s Chief Executive Officer (CEO), Douglas McClain Jr. (McClain Jr.), of Savannah, Georgia, who was Immunosyn’s Chief Financial Officer, Douglas McClain, Sr. (McClain Sr.), of Boerne, Texas, who was Argyll’s Chief Scientific Officer, and James T. Miceli (Miceli), of Poway, California, who was Argyll’s CEO, all with securities fraud; and it also charged Argyll, McClain, Jr., McClain, Sr., Miceli, Argyll Equities, LLC (Argyll Equities), based in San Diego, California, and Padmore Holdings, Ltd. (Padmore), an offshore entity, all with insider trading.
The Commission’s complaint, filed in federal court in Chicago, alleges that Immunosyn misleadingly stated in public filings with the Commission that Argyll, Immunosyn’s controlling shareholder, planned to commence the regulatory approval process for human clinical trials for SF-1019 in the U.S. or that regulatory approval was underway. The complaint alleges that these statements misled investors because the statements omitted to disclose that the U.S. Food and Drug Administration (FDA) had already twice issued clinical holds on drug applications for SF-1019, which prohibited clinical trials involving SF-1019 from occurring. The complaint also alleges that Immunosyn misleadingly stated that the regulatory approval process in Europe for human clinical trials for SF-1019 was imminent or underway, when in fact Argyll never submitted an application in Europe to conduct human clinical trials.
The Complaint alleges that McClain Jr., McClain Sr., and Miceli engaged in insider trading by raising approximately $20 million from their sale of Immunosyn shares while knowing that Immunosyn was making misrepresentations about the regulatory status of SF-1019. The Complaint alleges that they sold most of these shares through Argyll and Argyll Equities, which McClain Jr. and Miceli jointly owned, and Padmore, which McClain Jr., McClain Sr., and Miceli jointly owned. The Complaint also alleges that McClain Sr. made misstatements about the status of regulatory approval of SF-1019 in a video on Immunosyn’s public website, and in a 2008 presentation in which he sold Immunosyn stock he owned through Padmore to patients at a Texas holistic clinic, some of whom were terminally ill. The Complaint alleges that McClain Sr. raised approximately $300,000 from these patients but never gave them the shares they bought.
The Commission’s complaint seeks a final judgment permanently enjoining the defendants from future violations of the antifraud provisions of the federal securities laws, ordering each defendant to disgorge all ill-gotten gains, plus prejudgment interest, ordering each defendant to pay civil penalties, and barring Ferrone, McClain Jr., McClain Sr. and Miceli from serving as an officer or director of a public company.
The Commission acknowledges the assistance of the U.S. Food and Drug Administration. [SEC v. Stephen D. Ferrone, Douglas A. McClain, Jr., Douglas A. McClain, Sr., James T. Miceli, Immunosyn Corporation, Argyll Biotechnologies, LLC, Argyll Equities, LLC, and Padmore Holdings, Ltd., 1:11-cv-05223 (USDC N.D. Ill.)] (LR-22057)
