Commission announcementsSEC Adopts Dodd-Frank Act Amendments to Investment Advisers ActThe Securities and Exchange Commission today adopted rules that require advisers to hedge funds and other private funds to register with the SEC, establish new exemptions from SEC registration and reporting requirements for certain advisers, and reallocate regulatory responsibility for advisers between the SEC and states. The rules adopted by the Commission implement core provisions of the Dodd-Frank Wall Street Reform and Consumer Protection Act regarding investment advisers, including those that advise hedge funds. “These rules will fill a key gap in the regulatory landscape,” said SEC Chairman Mary L. Schapiro. “In particular, our proposal will give the Commission, and the public, insight into hedge fund and other private fund managers who previously conducted their work under the radar and outside the vision of regulators.” In addition, the Commission amended rules to expand disclosure by investment advisers, particularly about the private funds they manage, and revised the Commission’s pay-to-play rule. The rules implement a transitional exemption period so that private advisers, including hedge fund and private equity fund advisers, newly required to register do not have to do so until March 30, 2012. The rules regarding exemptions for venture capital fund and certain private fund advisers are effective July 21, 2011. (Press Rel. 2011-133) SEC Adopts Rule Under Dodd-Frank Act Defining “Family Offices”The Securities and Exchange Commission today approved a new rule to define “family offices” that are to be excluded from the Investment Advisers Act of 1940. The rulemaking stems from the Dodd-Frank Wall Street Reform and Consumer Protection Act. “Family offices” are entities established by wealthy families to manage their wealth and provide other services to family members, such as tax and estate planning services. Historically, family offices have not been required to register with the SEC under the Advisers Act because of an exemption provided to investment advisers with fewer than 15 clients. The Dodd-Frank Act removed that exemption so the SEC can regulate hedge fund and other private fund advisers. However, Dodd-Frank also included a new provision requiring the SEC to define family offices in order to exempt them from regulation under the Advisers Act. The new rule adopted by the SEC enables those managing their own family’s financial portfolios to determine whether their “family offices” can continue to be excluded from the Investment Advisers Act. The rule is effective 60 days after its publication in the Federal Register. (Press Rel. 2011-134) Enforcement proceedingsIn the Matter of Alvin C. RamseyOn June 21, 2011, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Notice of Hearing (Order) against Alvin C. Ramsey (Ramsey). The proceedings are based on Ramsey’s conviction in United States District Court for the Southern District of Georgia, in United States v. Alvin Charles Ramsey, No. 1:10-cr-00132-JRH. In this Order, the Commission alleges that, from 2005 to 2008, Ramsey knowingly and willfully devised and intended to devise a scheme and artifice to defraud and misappropriate more than $400,000 from a customer by means of false and fraudulent pretenses, representations, promises, and omissions, by use of a commercial interstate carrier. A hearing will be scheduled before an Administrative Law Judge to determine whether the allegations contained in the Order are true, to provide Ramsey an opportunity to respond to these allegations, and to determine what, if any, remedial sanctions are appropriate and in the public interest. An Administrative Law Judge will issue an initial decision no later than 210 days from the date of service of the Commission’s Order. The Default Order revoked the registration of each class of registered securities of Columbia Lease Income Fund B LP, Commercial Consolidators Corp., Computer Devices, Inc., Consolidated Health Care Associates, Inc., Consolidated Professor Mines, Ltd., and Cornwall Tin & Mining Corp., pursuant to Section 12(j) of the Securities Exchange Act of 1934. The proceeding remains open as to Coniagas Resources Limited (n/k/a Lithium One Inc.). Kelsoe, Jr.; and Joseph Thompson Weller, CPAOn June 22, 2011, the Commission issued an Order Making Findings and Imposing Remedial Sanctions and a Cease-And-Desist Order Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Sections 203(e), 203(f) and 203(k) of the Investment Advisers Act of 1940, and Sections 9(b) and 9(f) of the Investment Company Act of 1940, and Imposing Suspension Pursuant to Section 4C of the Securities Exchange Act of 1934 and Rule 102(e)(1)(iii) of the Commission’s Rules of Practice as to Respondents Morgan Asset Management, Inc., Morgan Keegan & Company, Inc., James C. Kelsoe, Jr., and Joseph Thompson Weller, CPA (Order). The Respondents consented to the issuance of the Order without admitting or denying any of the findings in the Order. The Order has been issued in connection with a global resolution of related claims involving Morgan Keegan, including this case, cases brought by a task force of state regulators, and a case brought by FINRA. The Order finds that Respondents were responsible for mispricing of fair-valued securities in the portfolios of five registered investment companies and in that regard, finds Respondents Kelsoe, Morgan Keegan and Morgan Asset engaged in various fraudulent practices. Accordingly, the Order orders the respondents to cease and desist from committing or causing violations as follows: (i) Morgan Asset Management - Sections 206(1), 206(2) and 206(4) of the Advisers Act and Rule 206(4)-7, Section 34(b) of the Investment Company Act and Rules 22c-1 and 38a-1 thereunder; (ii) Morgan Keegan & Company - Section 34(b) of the Investment Company Act and Rules 22c-1 and 38a-1 thereunder; (iii) James C. Kelsoe, Jr. - Sections 206(1), 206(2) and 206(4) of the Advisers Act and Rule 206(4)-7 thereunder and Section 34(b) of the Investment Company Act and Rules 22c-1 and 38a-1 thereunder; and (iv) Joseph Thompson Weller- Rules 22c-1 and 38a-1 promulgated under the Investment Company Act. With respect to Respondents Morgan Asset and Morgan Keegan, the Order also (i) requires Morgan Asset and Morgan Keegan, jointly and severally, to pay disgorgement of $20,500,000 and prejudgment interest of $4,500,000, and a civil penalty of $75,000,000; (ii) censures Morgan Asset and Morgan Keegan; (iii) requires Morgan Asset and Morgan Keegan to comply with certain undertakings including, among other things, for a period of three years from the date of the Order, to not be involved in, or responsible for, recommending to, or determining on behalf of, a registered investment company’s board of directors or trustees or such company’s valuation committee, the value of any portfolio security for which market quotations are not readily available, and if they subsequently begin to engage in such activity within six years from the date of the Order, to retain an independent compliance consultant and implement the consultant’s recommendations. The Order also acknowledges an undertaking by Respondents Morgan Asset and Morgan Keegan to make an additional payment in the amount of $100 million pursuant to orders to be entered in the related state and FINRA enforcement proceedings. With respect to Respondent Kelsoe, the Order (i) bars Kelsoe from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization and prohibiting him from serving or acting as an employee, officer, director, member of an advisory board, investment adviser or depositor of, or principal underwriter for, a registered investment company or affiliated person of such investment adviser, depositor, or principal underwriter, including a penny stock bar; and (ii) requires Kelsoe to pay a civil penalty of $250,000. The Order also acknowledges an undertaking by Kelsoe to pay an additional $250,000 penalty in the state proceeding. With respect to Respondent Weller, the Order (i) suspends Weller for twelve months from association in a supervisory capacity with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization; (ii) prohibits Weller from serving or acting as an employee, officer, director, member of an advisory board, investment adviser or depositor of, or principal underwriter for, a registered investment company or affiliated person of such investment adviser, depositor, or principal underwriter for twelve months; (iii) suspends Weller from participating in any offering of a penny stock for twelve months; (iv) denies Weller the privilege of appearing or practicing before the Commission as an accountant, provided that he may request that the Commission consider his reinstatement after two years; and (iv) requires Weller to pay a civil penalty of $50,000. (Rels. 34-64720, IA-3218, IC-29704, AAE Rel. 3296, 33-9226, 33-9227, 34-64721, IA-3219, IC-29705, File No. 3-13847) Court Issues an Order to Show Cause Re Civil Contempt Based on Defendants’ Failure to Pay Disgorgement and Prejudgment InterestThe Securities and Exchange Commission today announced that on June 21, 2011, the United States District Court for the District of Arizona issued an Order to Show Cause re Civil Contempt against defendants Tom Hirsch, Berta Walder, Howard Walder, and Harish P. Shah for their failure to pay disgorgement and prejudgment interest thereon as required by the Final Judgment of Permanent Injunction and Monetary Relief entered by the Court against the defendants. The Court’s Order follows from the Commission’s Motion for Order to Show Cause re Civil Contempt against the defendants, filed June 10, 2011, which alleged that the defendants violated the Court’s Final Judgment by failing to pay disgorgement (Hirsch was ordered to disgorge $1,245,220, the Walders $1,245,217, and Shah $740,160) and prejudgment interest thereon within 14 days of the entry of the Final Judgment. The Court granted the motion and issued the Order to Show Cause on June 21, 2011. The hearing on the Order to Show Cause is set for July 28, 2011. The Commission’s complaint, which was filed on July 28, 2009, alleged that the defendants and their company, Radical Bunny LLC, raised $197 million from investors nationwide and that they made a series of misrepresentations and omissions to investors about the safety and security of the investment and the applicability of the securities laws to their offering. In particular, the complaint alleged that the defendants falsely represented that Radical Bunny held a secured interest in real estate and/or Mortgages Ltd.’s assets even after their attorneys repeatedly advised them that documentation of that security interest was either non-existent or defective. The Commission’s motion for summary judgment against the defendants was granted on April 12, 2011. The Final Judgment against the defendants was entered by the Court on April 28, 2011. [SEC v.
