DRAFT EDGAR Filer Manual (Volume II)

Update (April 24, 2013): EDGAR Release 13.1 implementation date has been postponed to be no sooner than Monday, May 20, 2013.

This draft Filer Manual, posted before Commission approval of potential regulatory changes in this release, is provided as a service to our filing community to assist filers, agents, and software developers prepare for potential changes the staff anticipates. Since this is a draft manual, the SEC retains the right to change any part of the manual before the new system release is made final. In addition, the final EDGAR Filer Manual (Volume II) (Version 23) is subject to Commission approval and may be revised before approval or not approved at all. Similarly, the posting of the draft manual does not indicate Commission approval of any pending proposed changes relating to the potential changes reflected in the draft manual. The final version of the manual will be made available as and if approved by the Commission, on the SEC's Public Website.

Changes to the DRAFT EDGAR Filer Manual (Volume II) - EDGAR Filing (Version 23) are being made to update the filer manual to reflect changes scheduled to be implemented on April 29, 2013.

EDGAR will be updated to convert Form 13F to an online form. Form 13F will no longer be available on the EDGARLink Online application. Form 13F may only be filed using the new online version of the form available on the EDGAR Filing Website or constructed by filers according to the new "EDGAR Form 13F XML Technical Specification" document. The submission form types 13F-HR, 13-HR/A, 13F-NT, and 13-NT/A will be accessible by selecting the 'File Form 13F' link on the EDGAR Filing Website. Instructions to file the online version of Form 13F are included in two new sections of Chapter 9 (Preparing and Transmitting Online Submissions) of the "EDGAR Filer Manual, Volume II: EDGAR Filing" to guide filers through the filing process. These sections will replace Appendix G, Form 13F Special Electronic Filing Instructions.

Form N-SAR Update: The Commission is no longer pursuing its existing project to modify the method of filing Form N-SAR from a DOS-based application to an XML application. The draft Form N-SAR XML Technical Specification document will be removed from the website and the references to the new application will be removed from the EDGAR Filer Manual. Filers should continue to use the DOS-based application to create Form N-SAR submissions and the "EDGAR Filer Manual, Volume III: N-SAR Supplement" as comprehensive enhancements to the form are being considered.
