Your expertise is the regulating of Securities and Security Exchanges. Have you now become the experts in Contract Law? This contract dispute belongs in the courts.
Matter of fact it IS in the Courts.
I believe that the CBOT has a valid contract with the CBOE. You may or not believe this contract is valid.
