Dear Mr. Katz:
     
I just became aware of this pending proposal and am shocked that it is even 
under consideration.  While probably well intentioned, it will have a 
seriously adverse effect on the ability to trade our small company's stock 
on the OTC BBB.  Please try and understand the Rule's disastrous 
ramifications to companies such as ours and vote it down when it comes up 
for a vote.
