The Proposed rule S7-5-99 will inflict serious if not fatal 
consequences on thousands of hard working, honorable, 
struggling public companies.  The unintended out come  will 
be far reaching.  The results for the company that I am 
working with will be devastating for the more than 2000 
stockholders.
The proposed rule while well meaning may be the end for our 
company.  Think of ways to eliminate fraud without 
eliminating those of us who are working to create a future 
for our stockholders and our families.
