From: rick@cleanyield.com Sent: Wednesday, December 04, 2002 1:14 PM To: rule-comments@sec.gov Subject: File No. S7-36-02 Dear SEC Secretary, Please register my family's support for the SEC proposal to require mutual funds to disclose how they vote their proxies. My wife and I hold shares in several mutual funds. Because we don't know how our funds vote on proxies, we fear we are unknowing accomplices to corporate misfeasance and malfeasance. Knowing how our funds vote proxies would be a significant factor in choosing mutual funds in which to invest. We want to know how my mutual fund is voting on issues related to executive pay, board make-up and independence, global warming and other environmental issues, worker rights, gender discrimination and other issues that matter to me. We want potential conflicts of interest exposed. We want to know what principles will guide the mutual fund in determining how it votes in corporate proxy contests. We urge the SEC to stand up for investors and for corporate accountability and to vote in favor of the proposed proxy voting rule.
