Katz 450 Fifth Street, NW Washington, DC 20549 Dear SEC Secretary Mr. Jonathan G. Katz, Re: File No. S7-36-02 Dear Mr. Katz: It is my hope you will adopt rule S7-36-03 into the SEC charter. Doing so would provide a bit of oversight to shareholders and avoid the conflict of interest that has occurred in recent accounting scandals. The mutual fund companies keep their votes secret and this does nothing to protect shareholders or the public from the type of accounting abuses that have happened in the past. NOW is the time to give shareholders a piece of mind while reinforcing the SEC's priviledge of overseeing finances for the American people. Please support and PASS the rule as a gift for the belief in the American democracy and capitalist system. Sincerely, Perry Tanko 627 26 Avenue N St Petersburg, Florida 33704
