Date: 05/07/2000 10:40 PM Subject: To the SEC I am highly opposed to SEC Release Nos. 34-42099; IA-1845, "Certain Broker-Dealers Deemed Not To Be Investment Advisers." ( Re: File No. S7-25-99). Our firm has been regulated by the SEC and maintains the highest possible standards as a registered investment advisor. To waive the requirement and allow large wire houses to escape the same regulation is a mistake. These are the same wire houses that have always put commission interests ahead of the clients interests. The same wire houses that have generated thousands of investor complaints. I urge you to reconsider the above regulation and have a level "ethical" playing field for all investment advisors. Marc Singer, CFP Coral Gables, FL
