Date: 1/1/98 7:04 PM To: Mr. Arthur Levitt From: Lisa Cheby Re: Stockholder Initiatives I would like to voice my opinion against the rule that is up for passing by your commission which would prevent many stockholder initiatives from being deliberated and voted upon at open stockholder meetings, thus keeping many motions and information on issues including fair employment practices (such as sex and race discrimination and harassment) from being brought to stockholders' attention. The rule would also prevent questions on gender balancing boards, the use of child labor, and other ways that employees, investors and customers force corporations to clean up their acts when they have refused to act on their own. Stockholders have the right to choose socially conscious companies to invest in and by not making this information available to stockholders you will be inhibiting this right. Sincerely, Lisa E. Cheby
