Date: 12/16/97 1:42 PM December 16,1997 Jonathan katz, Secretary:SEC Dear Sir, I strongly oppose the proposed changes to the submission and re submission of shareholder resolutions. The voices of the shareholder must be formally presented at annual shareholder meetings on all issues. Every issue including EEO matters, womens rights, sweatshop subcontracting and other social issues are not merely "normal business practices". Social issues impact corporate profits and shareholders need to air their points of view in all contacts with the company including annual meetings. Please abandon the proposed rules and lift all restrictions on shareholder resolutions. Respectfully, Jack A. Brill
