Date: 1/5/98 8:42 AM Mr. Arthur Levitt, SEC members; The proposed rule S7-25-97 (the Stockholder Gag Rule) is inappropriate and offensive and must not be adopted. Although smooth operation of corporations is an important function to protect, restricting information to stockholders is not an acceptable means of achieving this goal. At a time in U.S. history when access to information is increasingly important, don't distinguish yourselves by reversing this powerful trend. Again, I encourage you to distinguish yourselves with regard to information access, and submit that such access is as important to you in your work as it is to the rest of us in ours. Thank you. Sincerely, Andrea K. Breuner
