Dear Sir:
     
We wish to express our opposition to the proposed rule S7-25-97 which would 
prohibit certain items from being discussed at stockholders' meetings.  
     
This is totally unfair to shareholders who feel strongly about some issues. 
It seems a rule designed to stifle their input and allow management a free 
hand.
     
Shareholders deserve the right to participate in company policy.  As 
stockholders, we urge you to reject this proposal.
