Date: 1/5/98 1:48 PM Subject: Arthur Levitt, re S7-25-97 I am very much opposed to the stockholder gag rule - S7-25555-97 that ould prevent many stockholder initiatives from being deliberated and voted upon at open stockholder meetings. Key among the stockholder motions that would be outlawed are those that affect women. This proposed rule would prevent many motions and information on issues including fair employment practices (such as sex and race discrimination and harrassment) from being brought to stockholders' attention. The rule would alsoprevent questions on gender balancing boards, the use of child labor, and other ways that employees, investors and customers force corporations to change their actions when they have refused to act on their own. Please do not put this pernicious rule into effect. Surely it is the purpose of the SEC to see that stockholders are informed about the companies in whom they own shares, and to give them opportunities to voice their opinions.
