Dear SEC,

I have just learned about the new rule proposel regarding security holder director nominations. As an individual investor, I want to thank you for this great idea and your hard work. The proposed rule just makes common sense. I believe such a rule would make corporate governance more transparent to the individual investor. It will only encourage the "insiders" to manage the companies which they work for with ethical and moral centers that all americans are held to both socially and lawfully. If a company is truely representing the majority shareholder's interests then that companies fair market value will only increase as the partnership between shareholder's and corporate directors is further leveraged in the market place with this new rule proposel.

This new rule proposel just reinforces the idea that public companies are public not private. I encourage you to adopt this new rule and continue to explore more ways to improve the publics access to insider information.

Very Respectfully,

LCDR Ross T. Waterfield M.D. USNR
