It makes the old Soviet Union look democratic and open to descent. Under the new rules, multiple nominees should be submitted for each director position, and any shareholder with a sufficient number of shares should be able to nominate a candidate. That should prevent the automatic "re-elections" of the Old Boy network pals, instead of the qualified candidates who would look out for ALL shareholders' interests.
