Washington, D.C. 20549-0609 Reference: File No.S7-19-03 Dear Mr. Katz: I oppose the proposed regulations concerning Director nominations for several reasons as follows: (1) the recent Sarbanes-Oxley legislation has just taken effect and should improve the Director selection process. The full impact of this new law has not been observed yet. (2) The independant nominating committee is the best method for selecting Board members who have the requisite qualifications and diverse backgrounds. (3) Shareholder nominees will almost all be special interest nominees and will not serve or represent all shareholders.
