Subject: Executive Compensation Date: 4/19/97 7:28 AM to_name: Secretary Jonathan Katz,Chairman Arthur Levitt from_name: Mr. John Koji Kagawa (age 35) Street address: 11272 Nebraska Avenue City: Los Angeles State: CA Zip: 90025-4207 Phone: 310-479-7678 message: I am writing in the individual capacity of a U.S.-born citizen deeply concerned about abuse in corporate America. Having attended Law School and learning enough about Corporate Law, I know that the problems you face at the S.E.C. are truly staggering. If corporate crime were properly reported, then regulators and law enforcers could seek remedies on behalf of the shareholders with great speed. There is at present great attention to pay, however, little is being done at restoring shareholder's confidence, rehiring wrongly discharged workers, or penalizing the criminals involved. Whether in a suit or pajamas, a criminal is amenable under the laws. Do not waver, nor lessen the sentences. This is what got California in trouble. Sentencing, once deemed proper, need not be open to review on the question of damages. Courts fail, too, but you know what I am referring to. Laws are useless unless they truly reflect "good" public policy. As such, do not fear fast-talking lawyers. Take your time, and do things with equity and fairness in mind, and you will know who the victim is and who the criminal is. If you can, please prepare a complaint form that can be completed by shareholders who seek remedy for harms commited upon them. The S.E.C. can change internal protocol to meet changes in the way business is conducted as needed, just as any other business. Those at the head of the S.E.C. must not only have the power and courage to see to items of import, but they must have the support and cooperation they need from those below them. Please see to this as well, then you folks will be running business like S.W.A.T., and it will be a happy place to work as well. Remember, work should be fun. Don't let anyone deceive you. Thank you, and good luck! Sincerely, John K. Kagawa 11272 Nebraska Ave. Los Angeles, CA 90025 (310) 479-7678 jkagawa@ix.netcom.com P.S. I would like to report Prudential Realty Trust (NYSE: PRT) for their crimes to your task force when they have time to tackle it. Thank you.
