Katz, Secretary U.S. Securities and Exchange Commission 450 Fifth, NW Washington, DC 20549-0609 Re: File # S7-09-04 Dear Mr. Katz, If the 12b-1 service fees are dropped, the impact to the shareholder will be severe. These fees allow me to provide ongoing administrative services, such as changing or correcting account information, but most importantly they enable me to give them the financial planning help that they need. I will be forced to discontinue these services with the rescission of the 12b-1 fee. The wealthy investor will always be able to pay for financial advice, but the average investor cannot. Donna M.
