Date: 12/10/97 Subject: s7-26-97 / Dominguez Services Corporation Mr. Jonathan Katz: I am employed by Dominguez Services Corporation, an investor-owned water utility traded on the Nasdaq Stock Exchange under the symbol: DOMZ. We strongly oppose HR 944 and HR 945, which relate to shareholder involvement in corporate charitable contributions. We are proud of the reputation we have built in the communities we serve; indeed, we are known as a responsible corporate citizen in all of our service areas. And we believe that, with all due respect to our shareholders, our employees and managers know the needs of our communities best, because they live and work in them. Corporate law and governance certainly dictate that business operations of a company, including the determination of charitable contributions, are the responsibility of management. At Dominguez, we have a corporate giving strategy, which is meant to do the most good for the most needy while supporting our corporate mission and business objectives. It is our firm belief that the bills would neither improve our corporate citizenship nor benefit our shareholders in any way. Data collected by the American Society of Corporate Secretaries and the Investor Responsibility Research Center show that whenever asked, shareholders have overwhelmingly voted against additional disclosure of charitable contributions. What's more, implementing the bills would take time that we frankly would rather spend serving our customers and our shareholders. We are a financially strong company that has consistently delivered shareholders a competitive rate of return. We are committed to satisfying both our shareholders and our communities. BUT WE ARE CONVINCED THAT HR 944 AND 945 WOULD HELP US DO NEITHER. Thank you for giving us the opportunity to comment. If you would like additional input, I may be reached at (310) 834-2625, ext. 313. Sincerely, Shannon C. Dean Corporate Communications Manager
