I believe the rules should be modified to provide additional incentives for investors to oversee the companies they own, by participating in votes on policy decisions at quarterly and annual meetings. As an investor in the U.S. markets, I am concerned by the ability of a company and its management to make decisions independent of shareholders' best interests, which has become more critical in light of corporate frauds and CEO excesses. I appreciate any improvements the SEC can make to the proxy rules that affect shareholders' ability to oversee companies they own. Sincerely, William F.
