         I wish to thank the SEC for it's willingness to review the proxy rules .
As a small stock holder I am concerned about how rules that affects shareholders 
ability to oversee companies that they own in light of the corporate excesses of 
recent years .It is important that shareholders have a strong voice in selecting 
companies directors and are not just a rubber stamp for management
