I am an individual investor through my IRA's as well as employment-based defined 
contributions.  As a holder of direct company shares and mutual fund interests, 
I am greatly interested in your review of proxy rules.
The Way in which U.S. companies are managed most certainly affects shareholder 
well-being.
I fully support your interest in the proxy landscape and look forward to amendments 
that will afford shareholders a greater role in how directors are selected and in 
the oversight of company management.
