As a stock holder I am always concerned about corporate fraud especially in the last several years. It is clear from their behavior that a good many CEOs don't take their fiduciary duty seriously and are more interested in maintaining power that working for their constituents. Shareholders ought to be able to select directors. I believe that corporate accountability can be improved by revising the proxy rules and making the directors accountable to the shareholders. This is an appropriate opportunity for the SEC to do that for which it was intended.
