Shareholders have bought a small part of a company, and it should be their right to take part in the democratic process of choosing who will be in charge of their investment. The example of Enron and other recent events has made it clear that businesses and those who run them cannot achieve satisfactory self-regulation, so the role of the board has become even more important as another level of control.
