Subject: Review of Proxy Rules

Dear members of the Securities and Exchange Commission, I am aware that you are 
proposing to look at proxy rules to determine whether shareholders and the public 
are currently well served (reference File No. S7-10-03).  I urge you to take action 
to insure that boards represent the shareholders who appointed them and that, in 
turn, management is held responsible by their boards for all aspects of corporate 
behavior.
