LARRY BERGMANN, SENIOR ASSOCIATE DIRECTOR IN THE DIVISION OF MARKET REGULATION, TO RETIRE FROM SEC Larry E. Bergmann, Senior Associate Director in the Securities and Exchange Commission's Division of Market Regulation, announced that he will retire from the SEC in January. Bergmann will join the law firm of Willkie Farr & Gallagher LLP in its Washington office. SEC Commissioner Annette Nazareth, until recently the Director of the Division of Market Regulation, said, "Larry is the consummate securities lawyer and a very gifted policymaker. For over a quarter of a century he has contributed immeasurably to the SEC's efforts on behalf of the investing public. Larry's keen insights concerning a broad range of securities markets issues were reflected in the large body of work he produced throughout his years at the SEC. He will be sadly missed." Bergmann said, "It has been my privilege to work for the Securities and Exchange Commission with the best and the brightest in government for 30 years. Our Market Regulation program has helped to maintain fair, honest, and efficient securities markets for investors. I am proud to have contributed to the critical daily work of the staff and to many of the SEC's major initiatives, including Regulation M, Regulation AC, Regulation SHO, and the recent interpretation of Section 28(e) of the Securities Exchange Act of 1934 regarding client commission practices. The level of discourse and dedication throughout the Commission devoted to the public interest is truly remarkable." Bergmann joined the Commission in 1975 as a staff attorney in the Northeast Regional Office. He transferred to the Division of Enforcement in Washington in 1978. In 1984, he became Assistant Director for Trading Practices in the Division of Market Regulation, and in 1988 became an Associate Director in that Division. As Senior Associate Director, his responsibilities have included administering the SEC's trading practices rules, rules applying to short sales and research analysts, and "soft dollar" interpretations. He also has supervised the Commission's oversight program for clearing agencies and transfer agents, and the Division of Market Regulation's Enforcement Liaison Office. He has participated on a variety of task forces within the SEC, such as co-chair of the task force on soft dollars and the task force to re-write the SEC's rules of administrative practice. In his career of increasingly diverse and substantial responsibilities, Bergmann has received numerous awards, including the Commission's highest, the Distinguished Service Award, and the Presidential Rank Meritorious Service Award. Bergmann also was active in the Commission's international program. For example, he represented the Commission on Standing Committee 2 (Secondary Markets) of the International Organization of Securities Commissions. In the summer of 2005, he was invited to participate in the International Monetary Fund's mission to assess the financial infrastructure of Spain. Over the years, Bergmann has taught securities courses at American University's Washington College of Law, the University of Maryland School of Business, and the University of Pennsylvania's Wharton School. Bergmann received his law degree from Boston College Law School, where he was an editor of the law review, and his undergraduate degree from the Massachusetts Institute of Technology. On June 2, 2005, the Commission issued an order in this proceeding in which it found that: Respondent Huntington Bancshares, Inc. violated Sections 17(a)(2) and 17(a)(3) of the Securities Act of 1933 (Securities Act) and Sections 13(a) and 13(b)(2)(A) and (B) of the Securities Exchange Act of 1934 (Exchange Act), and Rules 12b-20 and 13a-1 thereunder; Respondent Thomas E. Hoaglin caused Huntington's violations of Section 17(a)(2) of the Securities Act and Sections 13(a) and 13(b)(2)(A) and (B) of the Exchange Act and Rules 12b-20 and 13a-1 thereunder and directly violated Exchange Act Rule 13a-14; Respondents Michael J. McMennamin and John Van Fleet violated Sections 17(a)(2) and 17(a)(3) of the Securities Act, Section 13(b)(5) of the Exchange Act and Rule 13b2-1 thereunder, and caused Huntington's violations of Sections 13(a) and 13(b)(2)(A) and (B) of the Exchange Act and Rules 12b-20 and 13a-1 thereunder; and McMennamin directly violated Exchange Act Rule 13a-14. The Commission ordered Huntington, Hoaglin, McMennamin, and Van Fleet (Respondents) to pay disgorgement and prejudgment interest in the amounts of $1, $517,609.29, $265,215, and $26,660, respectively. On June 2, 2005, the Commission also filed a civil complaint against Respondents in the U.S. District Court for the District of Ohio. Simultaneously with the filing of the complaint, without admitting or denying its allegations, Respondents consented to the entry of final judgments against them wherein the Court ordered them to pay civil money penalties of $7,500,000, $150,000, $150,000, and $25,000, respectively. Pursuant to the Order and Judgments, on June 8, 2005, Respondents paid a total of $8,634,485.29 to the Commission. The monies are presently being held in an interest bearing account at the United States Treasury (the Fund). Under Section 308 of the Sarbanes-Oxley Act of 2002, also known as the Fair Funds for Investors provision, the Commission may, in Commission actions in which both disgorgement and penalties are obtained against a respondent, authorize the staff to seek to have the civil penalty added to the disgorgement fund for the benefit of the investor victims of the fraudulent conduct that is the subject of the action. The Commission did, in this case, so authorize the staff, and the Court ordered that the penalties paid by Respondents be added to the disgorgement funds available for distribution for the benefit of the victims. The Plan proposes that Nancy Grunberg of the law firm Venable LLP be appointed as administrator of the Plan. The Plan makes investors who purchased shares of Huntington common stock from July 1, 2001, through 4 p.m. eastern standard time on June 26, 2003, and who sold any portion of those shares between 4 p.m. eastern standard time on June 26, 2003, and 4 p.m. eastern standard time on July 3, 2003, or their lawful successors, except for Respondents, eligible for distribution from the Fund. SELF-REGULATORY ORGANIZATIONS APPROVAL OF PROPOSED RULE CHANGES The Commission approved a proposed rule change (SR-NASD-2005-066) filed by the National Association of Securities Dealers regarding a proposal to amend NASD Rule 3011 and adopt new related interpretive material to (1) require each member to conduct the independent test of its anti-money laundering program on an annual basis, with the exception of certain types of firms, which would be allowed to test every two years; (2) clarify the persons not considered to be independent for purposes of Rule 3011(c), and therefore not eligible to conduct the test; and (3) require a member to review and update, if necessary, the accuracy of the member's anti-money laundering compliance person information on a quarterly basis. Publication of the order is expected in the Federal Register during the week of Jan. 2, 2006.
