SEC TO CONSIDER PUBLICATION OF REVISIONS TO PROPOSED REGULATION NMS On November 30, the Commission released the following statement by an SEC spokesperson: “The Commission intends to consider a recommendation from the Staff regarding proposed Regulation NMS on Dec. 15, 2004. Regulation NMS is the product of years of consideration by the Commission of equity market structure issues, as well as an extensive public dialogue over the course of the past year. After reviewing more than 700 comment letters on the Regulation NMS proposal and the supplementary request for comment, and considering the views of commenters expressed at the April public hearing, the Staff's recommendations differ in some respects from the rule text originally proposed. The recommendations address four major issues, are complex in their detail, and to some extent are inter- dependent. The Staff intends to recommend that the Commission publish Regulation NMS in its revised form to provide the public an opportunity to review the details before the Commission takes final action. The comment period would be followed by Commission action early next year.” (Press Rel. 2004-165) RULES AND RELATED MATTERS SEC ISSUES ORDER DELAYING PILOT PERIOD FOR SUSPENSION OF THE OPERATION OF SHORT SALE PRICE PROVISIONS PURSUANT TO REGULATION SHO On November 29, the Commission approved an order delaying the pilot period for suspension of the operation of short sale price provisions. The Pilot, established by order of the Commission on July 28, 2004, and set to commence on Jan. 3, 2005, suspends the provisions of Rule 10a- 1(a) under the Securities Exchange Act of 1934 and any short sale price test of any exchange or national securities association for short sales of certain pilot securities. See Securities Exchange Act Release No. 50104, July 28, 2004, and 69 FR 48032, Aug. 6, 2004. The Nov. 29, 2004, Pilot Order resets the Pilot to commence on May 2, 2005, and end on April 28, 2006. (Rel. 34-50747) (Press Rel. 2004-164) ENFORCEMENT PROCEEDINGS COMMISSION DENIES RECONSIDERATION OF OPINION SUSTAINING NASD FINDINGS AND SANCTIONS AGAINST MICHAEL STUDER AND CASTLE SECURITIES The Commission has declined to reconsider its opinion sustaining NASD's findings and sanctions against Michael T. Studer and Castle Securities Corp. regarding the mishandling of an elderly customer's discretionary margin account at Castle between 1993 and 1999. The Commission sustained NASD's expulsion of Castle from membership and its bar of Studer from association. Studer's Motion for Reconsideration raised no issues that required further examination. (Rel. 34-50543A; File No. 3- 11426) PENNY STOCK BAR – BRIAN BAGINSKI Brian E. Baginski, of Boynton Beach, Florida, has been barred from participating in an offering of penny stock. Thus, he is prohibited from engaging in any activities related to the issuance, purchase, or sale of such speculative low-priced securities. The sanction was ordered in an administrative proceeding before an administrative law judge, following a court-ordered injunction against him. Baginski was permanently enjoined from committing further violations of the antifraud and registration provisions of the securities laws. From November 2001 through April 2002, he and others had carried out a fraudulent “pump and dump” scheme to manipulate the price of stock of Investco, Inc., a penny stock. (Rel. 34-50757; File No. 3-11693) COMMISSION REVOKES REGISTRATIONS OF SECURITIES OF TEN ISSUERS THAT FAILED TO MAKE REQUIRED PERIODIC FILINGS On December 1, the Commission revoked the registration of each class of registered securities of ten issuers for failure to make required periodic filings with the Commission. The issuers are: Bigmar, Inc. (BGMR), Biogan International, Inc. (BIGM), Bluestar Enterprises, Inc., Centura Software, Inc. (MBNEQ), DirectShoes.Com, Inc., HealthWatch, Inc. (HEAL), Learncom, Inc. (LRCM), Marchfirst, Inc. (MRCHQ), Winstar Communications, Inc. (WCIIQ), and 21st Century Wireless Group, Inc. Schield. In the Order, the Division of Enforcement alleges that Schield Management Company and Marshall L. Schield were the subjects of permanent injunctions entered by consent enjoining them from future violations of Section 204 of the Advisers Act and Rule 204-2 thereunder. The injunctions were entered in the civil action entitled Securities and Exchange Commission v. Schield Management Company and Marshall L. Schield, Civil Action Number 03-B-1332, in the United States District Court for the District of Colorado. The Commission’s complaint in the civil action alleged that Schield Management Company, at the direction of Marshall L. Schield, destroyed and altered documents it was required to produce during the course of a statutorily authorized Commission examination of Schield Management Company. Specifically, Marshall L. Schield directed Schield Management personnel to destroy e-mails, tamper with logs reflecting losses suffered by clients due to trading errors, and destroy Personal Identification Numbers (PINs) used in trading. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order Instituting Administrative Proceedings are true, to provide Schield Management Company and Marshall L. Schield an opportunity to dispute these allegations, and to determine what sanctions, if any, are appropriate and in the public interest. (Rels. 34-50772; IA-2331; File No. 3- 11762) ACTION BROUGHT TO ENFORCE COMMISSION ORDER REQUIRING PAYMENT OF DISGORGEMENT, PREJUDGMENT INTEREST AND PENALTIES AGAINST GENE GEIGER AND CHARLES KIRBY On Nov. 30, 2004, the Commission commenced proceedings to collect a civil penalty previously ordered in a Commission administrative proceeding against Gene C. Geiger (Geiger), a resident of Parker, Colorado and Charles F. Kirby, a Littleton, Colorado resident (Kirby). The complaint, filed pursuant to Section 21(e) of the Securities Exchange Act of 1934, asks the federal court to order Geiger and Kirby to comply with the Commission's Order. It further requests that Geiger be ordered to pay disgorgement of $14,109.21, prejudgment interest of $10,995.48, and a civil penalty of $300,000 and that Kirby pay disgorgement of $31,352.60, prejudgment interest of $31,352.60 and a civil penalty of $200,000. The complaint charges that Geiger and Kirby failed to comply with the terms of a prior Commission order imposing remedial sanctions issued on Jan. 9, 2003, In the Matter of Charles F. Colo.] (LR-18987) DISCOVER CAPITAL HOLDINGS, DINOV BROTHERS TO PAY $706,000 IN STOCK FRAUD CASE; DINOVS BARRED FROM INDUSTRY On Nov. 19, 2004, the Honorable Judge Rosemary M. Collyer of the U.S. District Court for the District of Columbia entered final judgments against Discover Capital Holdings Corp., Indianapolis Securities, Inc., and Eli and Ari Dinov, arising from charges that they participated in the fraudulent, unregistered offering of Discover Capital's preferred shares. Without admitting or denying the allegations of the Commission's complaint, Discover Capital and the Dinov brothers agreed to pay a total of $706,459 in disgorgement, penalties, and prejudgment interest, including a $120,000 penalty imposed on Ari Dinov. In addition, the four defendants consented to being permanently enjoined from violating the antifraud and registration provisions of the federal securities laws, and Eli and Ari Dinov consented to being barred from acting as officers or directors of a public company. In related proceedings, the Commission issued an administrative order on Dec. 1, 2004, to which Eli and Ari Dinov consented, barring them from associating with any broker or dealer. Specifically, Discover Capital, Indianapolis Securities and the Dinovs consented to the entry of final judgments permanently enjoining them from violating Sections 5 and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. The Commission's complaint, filed on July 9, 2003, alleges that the defendants, Eli Dinov, his brother Ari Dinov, and David Rubin used spam e-mail touts and misleading, high pressure sales calls to raise $1.1 million dollars through the sale of private placement shares of Uniondale, New York-based Discover Capital, a company controlled by the individual defendants, through Discover's wholly owned broker-dealer subsidiary, Indianapolis Securities. The money to be paid in connection with these final judgments, together with the $462,000 in disgorgement, penalty, and pre-judgment interest which co-defendant David Rubin was ordered to pay in March 2004, brings the total amount to be paid by the defendants in this case to over $1.1 million.
