SEC NEWS DIGEST Issue 2005-209 October 31, 2005 ENFORCEMENT PROCEEDINGS COMMISSION AFFIRMS NASD DISCIPLINE AGAINST PAZ SECURITIES, INC. AND JOSEPH MIZRACHI FOR FAILURE TO COOPERATE WITH NASD INFORMATION REQUESTS On October 28, the Commission sustained the discipline imposed by NASD on PAZ Securities, Inc., formerly an NASD member firm, and Joseph Mizrachi, PAZ's president and part owner. The Commission found that, despite repeated NASD requests, it took more than eight months for PAZ and Mizrachi to provide information NASD requested in connection with a routine examination of PAZ. The Commission concluded that PAZ and Mizrachi had notice of NASD's requests. However, they complied with NASD's requests only after NASD issued its complaint, alleging that PAZ and Mizrachi failed to provide the requested information, and after a default decision entered against them. The Commission further found that PAZ and Mizrachi failed to show good cause to set aside the default. NASD expelled PAZ from membership and barred Mizrachi from associating with any NASD member in any capacity. In affirming NASD's sanctions, the Commission rejected Applicants' argument that NASD's sanctions were excessive and oppressive. (Rel. 34-52693; File No. 3-11852) COMMISSION SUSTAINS NASD DISCIPLINARY ACTION AGAINST FOX & COMPANY INVESTMENTS, INC. AND JAMES MOLDERMAKER On October 28, the Commission sustained disciplinary action taken by NASD against Fox & Company Investments, Inc., a registered broker-dealer, and James W. Moldermaker, its principal owner and president and, among other things, its financial and operations principal. At issue were NASD’s findings that Fox conducted, and Moldermaker permitted it to conduct, a securities business without sufficient net capital on Jan. 31, and Feb. 28, 2002; that Fox and Moldermaker maintained materially inaccurate books and records on Jan. 31, and Feb. 28, 2002; and that Fox and Moldermaker filed materially inaccurate FOCUS reports for the Dec. 31, 2001, Jan. 31, 2002, and Feb. 28, 2002, reporting periods. For these violations, NASD fined FOX and Moldermaker $25,000, jointly and severally, and barred Moldermaker from associating with any member firm as a financial and operations principal. In sustaining NASD’s findings and sanctions, the Commission found that Fox and Moldermaker subjected the firm’s customers to undue risks by conducting business without sufficient net capital. The Commission also found that, by failing to maintain accurate books and records, Fox and Moldermaker compromised their responsibility to safeguard the funds entrusted to them by their customers. The Commission found further that the inaccuracies in Fox’s books and records, among other deficiencies, were incorporated in the firm’s FOCUS reports, resulting in inaccurate filings. The Commission concluded that the sanctions imposed by NASD were neither excessive nor oppressive. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On October 31, the Commission revoked the registration of each class of registered securities of AmeriQuest Technologies, Inc. (AMQT) for its failure to make required periodic filings with the Commission. Without admitting or denying the findings of the order, except as to jurisdiction, which it admitted, AMQT consented to the entry of an order finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of AMQT’s securities pursuant to Section 12(j) of the Exchange Act. Stapleton, a former stockbroker and retired U.S. Army sergeant. The Commission’s complaint, originally filed on Oct. 1, 2004, alleged that, while he was working as a stockbroker in Germany, Stapleton fraudulently misappropriated at least $253,252 from three U.S.-citizen investor victims working in the U.S. Department of Defense community there, and sent the funds to an account he controlled in Springfield, Ill. On Oct. 21, 2005, the Hon. Jeanne E. Scott, United States District Judge for the Central District of Illinois, entered a Judgment of Permanent Injunction and Other Relief against Stapleton that (i) permanently enjoins him from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder; (ii) orders him to fully cooperate in asset discovery; and (iii) provides that the amount of civil penalties, disgorgement and prejudgment interest will be determined by the Court at a subsequent hearing, during which the allegations of the complaint will be accepted as and deemed true by the Court. Stapleton consented to the entry of the Judgment without admitting or denying the allegations in the Commission’s complaint. On Oct. 31, 2005, based upon the entry of the injunction, the Commission instituted and simultaneously settled an administrative proceeding pursuant to Section 15(b)(6) of the Exchange Act. Stapleton consented, without admitting or denying the Commission’s factual findings, to an order barring him from association with any broker or dealer. At a hearing held in a related criminal proceeding on Oct. 14, 2005, also before Judge Scott, Stapleton was sentenced to a term of 28 months in prison based on his conviction for mail fraud arising from the same underlying conduct alleged in the Commission’s complaint. Stapleton had entered a guilty plea to the mail fraud charge on June 9, 2005. Judge Scott also ordered Stapleton to pay criminal restitution totaling $262,101 to the three victims of the fraud. The Commission’s complaint alleged that Stapleton’s victims included an active-duty U.S. Army Sergeant, a U.S. Defense Department civilian schoolteacher and a civilian employee of a U.S. defense contractor, all of whom resided in Germany. The complaint alleged that Stapleton was associated with Nalico Equity Corporation, which is a U.S.-registered broker-dealer having offices in Texas and in Europe, at the time of his offending conduct. The complaint further alleged that, in each instance, after persuading the victim to give him funds for investment, Stapleton invested only a portion of the funds as instructed, misappropriating the rest. Stapleton, the complaint further charged, supplied phony account statements to two of his three victims for several years thereafter to conceal his theft. Finally, the complaint alleged that Stapleton fled Germany in August 2001 when questions were raised concerning funds that appeared to be missing from his automobile insurance business; and that Stapleton subsequently resided in El Paso, Texas, and worked at an automobile dealership there. Ill.] (LR-19448) SEC SEEKS ADMINISTRATIVE SANCTIONS AGAINST UNREGISTERED BROKER WHO RECEIVED UNDISCLOSED KICKBACKS TO SOLICIT INVESTMENTS TO PUBLIC On October 31, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Notice of Hearing against Robert Henricks. The Division of Enforcement alleges, among other things, that from July 2000 to December 2000, Henricks was employed as a broker with Bryn Mawr Investment Group (Bryn Mawr), but not registered with the Commission. Bryn Mawr, however, was a broker-dealer registered with the Commission. The Division further alleges that, on Oct. 6, 2005, Henricks pled guilty to one count of conspiracy to commit securities fraud and wire fraud before the United States District Court for the District of New Jersey in U.S. v. Henricks, 05 Cr. 716 (D.N.J.) (WGB). The count of the criminal information relating to securities fraud to which Henricks pled guilty alleged, inter alia, that Henricks defrauded investors while working at Bryn Mawr by receiving undisclosed, excessive commissions for selling stock and misleading customers concerning the suitability and value of the stock. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Henricks an opportunity to dispute these allegations and to determine what remedial sanctions, if any, are appropriate and in the public interest. The Commission directed that an administrative law judge issue an initial decision no later than 210 days from the date of service of this order. (Rel. 34-52704; File No. 3-12093) FORMER PRESIDENT AND CEO OF NORCROSS, GA., BIOTECH COMPANY CONVICTED OF SECURITIES FRAUD AND PERJURY On October 27, a federal jury in Atlanta, Ga., convicted Timothy C. Moses of securities fraud and perjury. See U.S v. Timothy C. Moses, Case No. 1:04-CRT-508-CAP (N.D.Ga.). Moses is the former Chairman, CEO and President of International BioChemical Industries, Inc. (IBCL), a publicly-held biotechnology company based in Norcross, Ga.. that, prior to its bankruptcy in 2004, manufactured and sold antimicrobial products used as disinfectants. The Commission previously sued Moses and IBCL, and suspended trading in IBCL’s stock, in February 2003, after Moses issued a series of press releases that falsely suggested that the federal government was interested in buying IBCL’s anthrax remediation product. In truth, the FBI had contacted IBCL solely for investigative reasons, trying to ascertain whether IBCL or any of its personnel had access to anthrax spores or whether the company could benefit commercially from future anthrax contaminations. Moses’ press releases led to a sharp increase in IBCL's stock price, with over 118 million shares being traded over the six days following the first press release, causing approximately $2.2 million of investor losses. During this time, Moses dumped approximately 1 million of his IBCL shares. In the Commission’s lawsuit, the Court entered consent orders on Feb. 21, 2003, that permanently enjoined IBCL and Moses from violating the antifraud provisions of the federal securities laws, Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and required Moses to disgorge his ill-gotten gains. The Commission referred the case to the U.S. Attorney's Office for the Northern District of Georgia for possible criminal prosecution after Moses perjured himself in his deposition. Specifically, Moses testified that he was unaware that the sales of his IBCL shares had occurred, claiming that he had given his broker discretion to sell those shares. [SEC v. International BioChemical Industries, Inc. and Timothy Moses, Case No. 1:03-CV-0346-JTC, N.D.G.A.] (LR-19446) FEDERAL COURT ISSUES JUDGMENT IN MANGANESE MINE STOCK FRAUD CASE. On Oct. 12, 2005, the Honorable Mary M. Lisi of the United States District Court for the District of Rhode Island entered a Final Judgment of Permanent Injunction and Other Relief against Robin L. Sampson. The final judgment, entered by consent, enjoins Sampson from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and bars him from participating in any offering of penny stock. In addition, the final judgment requires Sampson to pay $15,000 in disgorgement plus $10,492 in prejudgment interest. The Court further ordered that payment of the disgorgement obligation plus prejudgment interest thereon would be waived and that no civil monetary penalty would be imposed against Sampson based on representations made in his Statement of Financial Condition. On July 30, 2001, the Commission filed a complaint alleging that, between January 1997 and March 2000, Sampson, along with William E. Kraemer, Donald E. McCourt and George T. Helm, Jr., engaged in a $240,000 fraudulent offering scheme. According to the Commission’s complaint, Kraemer, McCourt, Helm and Sampson defrauded 14 investors out of approximately $240,000 by inducing them to invest in Prexomet Corp., a now defunct Smithfield, R.I., based corporation. The complaint alleged that, beginning in January 1997, the defendants told prospective investors that Prexomet owned a valuable Arizona manganese mine and offered them an opportunity to purchase Prexomet stock at $1 per share. The complaint further alleged that the defendants also told the investors that Prexomet would soon go public through an initial public offering (IPO) and that they would earn a 400% return on their investments within several months. According to the complaint, these statements were false because neither Prexomet, nor any of the defendants, ever owned a mine and none of the defendants ever took any step to conduct an IPO or expended any funds for that purpose. Instead, the complaint asserted, the defendants diverted most of the funds they raised for their personal benefit. The Commission further alleged that, once some of the investors began raising questions about their investments, the defendants began making false “lulling statements,” from as early as April 1997 and continuing through at least March 2000, about how the investors would soon receive their promised 400% returns. According to the complaint, none of the investors ever received back any portion of the funds raised by the defendants. The Commission’s case against defendant Kraemer was resolved through the Sept. 18, 2002, entry of a default judgment that enjoined him from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and that required him to pay $192,163 in disgorgement, $87,082 in prejudgment interest and a $192,163 civil penalty. In a related administrative proceeding, on April 10, 2003, ALJ Brenda P. Murray issued an order, by default, barring Kraemer from participating in any offering of penny stock. The Commission’s case against defendant McCourt was resolved through the Dec. 1, 2004, entry of a judgment, by consent, that enjoined him from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, that barred him from participating in any offering of penny stock, and that required him to pay $9,430 in disgorgement, $5,272 in prejudgment interest and a $25,000 civil penalty. The Commission’s case against defendant Helm was resolved through the Aug. 1, 2001, entry of a judgment, by consent, that enjoined him from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and that required him to pay a $20,000 civil penalty.
