RULES AND RELATED MATTERS COMMISSION AMENDS RULE 30-7(A)(11), DELEGATION OF AUTHORITY TO SECRETARY OF COMMISISON The Commission amended Rule 30-7(a)(11), Delegation of Authority to Secretary of the Commission, to permit the Secretary of the Commission to waive the bond requirement set forth in Rule 1105(c) of the Rules on Fair Fund and Disgorgement Plans if the fair or disgorgement funds are held at the U.S. Department of the Treasury and will be disbursed by Treasury. This amendment will enhance efficient processing of disgorgement and fair fund plans and lower the cost of plan administration. The amendment will become effective 30 days after publication in the Federal Register. (Rel. 34-52602) ENFORCEMENT PROCEEDINGS IN THE MATTER OF AXESS MEDIA GROUP, LTD. An Administrative Law Judge has issued an Order Making Findings and Imposing Cease-and-Desist Orders by Default in Axess Media Group, Ltd., Administrative Proceeding No. 3-12017. The Order Instituting Proceedings (OIP) alleged that Respondents Axess Media Group, Ltd., and Michael Dale Grandon violated Sections 17(a)(1) and 17(a)(3) of the Securities Act of 1933 in connection with the fraudulent offering of securities by Axess. The OIP alleged that Respondents published a materially false and misleading Private Placement Memorandum (PPM) on the Internet, provided the misleading PPM to a prospective venture partner, and submitted misleading information in a filing with the Securities and Exchange Commission. The Default Order finds these allegations to be true and orders Axess and Grandon to cease and desist from committing or causing violations of and any future violations of Sections 17(a)(1) and 17(a)(3) of the Securities Act. (Rel. 33-8629; File No. 3-12017) NEVADA CORPORATIONS STOCK REGISTRATION REVOKED The registration of the stock of three Nevada shell corporations - American Machine, Inc., Pacific Vision Group, Inc., and Vinex Wines, Inc., has been revoked. None of the three has filed any annual or quarterly reports with the Commission for two or more years. Thus, each violated a crucial provision of the federal securities laws that requires public corporations to publicly disclose current, accurate financial information so that investors may make informed decisions. The revocations were ordered in an administrative proceeding before an administrative law judge. (Rel. 34-52644; File No. 3-11979) COURT ENTERS FINAL JUDGMENT AGAINST DAVID ACKERMAN On October 18, the U.S. District Court for the District of New Jersey entered final judgment against David Ackerman, an officer of Winstar Communications Inc., based upon charges of aiding and abetting fraud committed by Lucent Technologies, Inc. In its complaint filed on May 17, 2004, the Commission alleged that Ackerman aided and abetted fraudulent conduct by Lucent’s own employees and engaged in a scheme with co-defendant William Plunkett, a former sales Vice President at Lucent, that resulted in Lucent misrecording $125 million of revenue in connection with a software purchase by Winstar at the end of Lucent’s fourth quarter of its fiscal year 2000. Lucent, Plunkett, and two other individuals have previously settled the Commission’s action against them. Without admitting or denying the allegations in the Commission’s complaint, Ackerman consented to the entry of the final judgment, which permanently enjoins him from violating an antifraud provision of the federal securities laws, specifically, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The Court also enjoined Ackerman from aiding and abetting violations of the periodic reporting and books and records provisions of the Exchange Act, specifically, Sections 13(a) and 13(b)(2)(A) of the Exchange Act and Rules 12b-20 and 13a-11 thereunder, and ordered Ackerman to pay a $50,000 civil penalty. The Commission’s action continues against former Lucent employees Nina Aversano, Jay Carter, A. Leslie Dorn, John Bratten, Charles Elliott, and Michelle Hayes-Bullock. [SEC v. Leslie Dorn, William Plunkett, John Bratten, Deborah Harris, Charles Elliott, Vanessa Petrini, Michelle Hayes- Bullock, and David Ackerman, Civil Action No. 04-2315, WFW, MF] (LR- 19437; AAER-2337) FINAL JUDGMENT REGARDING ERIC TYRA The Securities and Exchange Commission announced that the Honorable R. David Proctor, United States District Judge for the Northern District of Alabama, entered a Final Judgment As To Defendant Eric Tyra, enjoining him from future violations of Section 17(a) of the Securities Act of 1933, Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 and Rules 10b-5, 13b2-1 and 13b2-2, and from aiding and abetting violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Rules 12b-20, 13a-1 and 13a-13 thereunder. Tyra consented to the entry of the judgment without admitting or denying the allegations of the Commission’s complaint. The court ordered disgorgement against Tyra in the amount of $1, and a civil penalty in the amount of $67,500, and prohibited Tyra from acting as an officer or director of any issuer that has a class of registered securities for a period of ten years. The Commission’s complaint, filed on May 21, 2004, alleged various fraudulent practices in connection with the financial statements of Just for Feet, Inc., a large shoe and sports apparel retailer formerly headquartered in Birmingham, Ala. The complaint alleged that Tyra, Just for Feet’s chief financial officer, and others, among other things, recorded on Just for Feet’s books unearned receivables and failed to create an adequate reserve for excess or obsolete inventory. The overstatement of income and assets resulting from this misconduct was reflected on Just for Feet's financial statements included in its Form 10-K filed for fiscal year 1998, Forms 10-Q filed for the first and second quarters of fiscal year 1999, and in its registration statements on Forms S-8 and S-4 filed in May and June of 1999, respectively. [SEC v. Eric Tyra, Scott Wynne, Peter Berman, and Scott Carey, Civil Action No. CV-04-P-1052-S, N.D. Al.] (LR-19438) SEC SUES FORMER OFFICERS AND PROMOTERS OF INTERCALLNET, INC. FOR FRAUD On October 19, the Securities and Exchange Commission filed a settled civil action in federal district court against Scott Gershon, the founder and former Chief Executive Officer of Intercallnet, Inc., Paul Cifaldi, the company’s former Chief Operating Officer, and stock promoters Neil Silver and Robert Davis for engaging in a fraudulent scheme to sell unregistered Intercallnet securities. The Commission’s complaint alleges that from March through December 2000, Gershon, Cifaldi, Silver and Davis participated in the fraudulent scheme in the following manner. Silver and Davis falsely represented themselves as licensed brokers and sold the stock in exchange for undisclosed commissions from Gershon, disguised on the company’s books as payments for the acquisition of assets. Invoices from fictitious companies Silver and Davis controlled were then created and back-dated to reflect the purported purchases. Cifaldi marked the fraudulent invoices “approved” for payment. Intercallnet’s periodic reports filed with the Commission from April 2001 through November 2002 included financial statements which falsely characterized the stock promotion commissions as payments for assets. SEC Settlement * Gershon, without admitting or denying the allegations in the complaint, consented to the entry of a final judgment (1) permanently enjoining him from violating Sections 5 and 17(a) of the Securities Act and Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5, 13b2-1 and 13b2-2 thereunder, and aiding and abetting violations of Sections 13(a), 13(b)(2)(A), 13(b)(2)(B) and 15(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder; (2) permanently barring him from serving as an officer or director of any public company; and (3) ordering him to pay disgorgement of $66,000 plus pre-judgment interest of $11,819.95 and a civil money penalty of $100,000. * Cifaldi, without admitting or denying the allegations in the complaint, consented to the entry of a final judgment (1) permanently enjoining him from violating Sections 5 and 17(a) of the Securities Act and Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5, 13b2-1 and 13b2-2 thereunder, and aiding and abetting violations of Sections 13(a), 13(b)(2)(A), 13(b)(2)(B) and 15(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder; (2) permanently barring him from serving as an officer or director of any public company; and (3) ordering him to pay disgorgement of $45,736 plus pre-judgment interest of $8,190.86. Based on Cifaldi’s Sworn Statement of Financial Condition and other documentation, the Commission waived the payment of disgorgement and prejudgment interest and did not seek a penalty. * Silver, without admitting or denying the allegations in the complaint, consented to the entry of a final judgment: (1) permanently enjoining him from violating Sections 5 and 17(a) of the Securities Act and Sections 10(b) and 15(a) of the Exchange Act and Exchange Act Rule 10b-5; and (2) ordering him to pay disgorgement of $831,971, plus pre-judgment interest of $153,051.28 and a civil money penalty of $50,000. * Davis, without admitting or denying the allegations in the complaint, consented to the entry of a final judgment: (1) permanently enjoining him from violating Sections 5 and 17(a) of the Securities Act and Sections 10(b) and 15(a) of the Exchange Act and Exchange Act Rule 10b-5; and (2) ordering him to pay disgorgement of $183,367, plus pre-judgment interest of $32,839.19 and a civil money penalty of $50,000. In a related settled administrative proceeding, Silver and Davis, consented, without admitting or denying the Commission’s findings, to entry of a Commission order pursuant to Exchange Act Section 15(b)(6) permanently barring each from associating with a broker or dealer. The Commission’s Order, to be issued upon entry of the permanent injunction by the federal district court, finds that Silver and Davis were not licensed to sell securities and acted as unregistered broker-dealers in promoting the sale of unregistered Intercallnet securities. On October 19, the Commission issued an administrative order in a related matter pursuant to Exchange Act Section 12(j) instituting an administrative proceeding to determine whether or not the registration of Intercallnet’s securities should be revoked or suspended for failure to file required periodic reports with the Commission. Scott Gershon, Paul Cifaldi, Neil Silver and Robert Davis, Civil Action No. 1:05 CV 02051, D.D.C., RWR] (LR-19439; AAER-2339) COURT ENTERS FINAL JUDGMENT AGAINST CHARLES CINI AND GORDON NOVAK ORDERING EACH OF THEM TO PAY A $110,000 CIVIL PENALTY The Securities and Exchange Commission announced that on Oct. 11, 2005, the United States District Court for the Southern District of Florida entered Final Judgment against Charles Cini and Gordon Novak which orders each of them to pay a $110,000 civil penalty for making materially false and misleading statements and failing to disclose material information in filings with the Commission in violation of the federal securities laws. Previously, on June 9, 2005, the Court granted the Commission’s motion to dismiss its claim for a civil penalty against Rhino Ecosystems, Inc. because it is defunct, administratively dissolved, and its stock registration has been revoked.
