ENFORCEMENT PROCEEDINGS SEC BRINGS CHARGES AGAINST AXESS MEDIA GROUP, LTD. AND MICHAEL DALE GRANDON FOR FALSE AND MISLEADING STATEMENTS IN PRIVATE STOCK OFFERING On August 24, the Commission issued an Order Instituting Cease-and- Desist Proceedings Pursuant to Section 8A of the Securities Act of 1933 (Order) against Axess Media Group, Ltd., a Nevada corporation, and its president and Chief Executive Officer, Michael Dale Grandon. In the Order, the Division of Enforcement alleges that Grandon, for Axess, posted on the Internet a false Private Placement Memorandum (PPM) offering 10,000,000 units of Axess stock for sale at $0.10 per share. The Division of Enforcement also alleges that the PPM was materially false and misleading because it described non-existent revenue and assets, and it identified numerous legal and accounting professionals and company executives who, in reality, had no relationship with Axess. The Division of Enforcement further alleges that, as a result of this conduct, Axess and Grandon violated Sections 17(a)(1) and 17(a)(3) of the Securities Act and that Grandon caused Axess’s violations of Sections 17(a)(1) and 17(a)(3) of the Securities Act. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the order are true, to provide Axess and Grandon an opportunity to dispute these allegations, and to determine whether a cease-and-desist order is appropriate. The Commission directed that the Administrative Law Judge issue an initial decision no later than 300 days from the date of service of the order, pursuant to Rule 360(a)(2) of the Commission’s Rules of Practice. (Rel. 33-8606; File No. 3-12017) REVOCATION OF REGISTRATION OF SECURITIES OF UCAP, INC. On August 23, the Securities and Exchange Commission revoked the registration of securities of UCAP, Inc., of Aurora, Colorado, registered with the Commission pursuant to Section 12 of the Securities Exchange Act of 1934. The Commission revoked UCAP’s securities pursuant to Section 12(j) of the Exchange Act. In its Order revoking the registration of securities of UCAP registered with the Commission pursuant to Section 12 of the Exchange Act, the Commission found the following: UCAP, while its common stock was registered with the Commission, had not filed an annual report on Form 10-KSB with the Commission since Jan. 15, 2003. Until the quarter ended March 31, 2003, UCAP’s fiscal year-end was September 30. Thereafter, UCAP changed its fiscal year-end to June 30.Further, UCAP had not filed a quarterly report on Form 10-QSB with the Commission since May 15, 2003; and UCAP had not filed its Forms 10-KSB for the years ended June 30, 2003 and June 30, 2004, or its Forms 10-QSB for the quarters ended Sept. 30, 2003, Dec. 31, 2003, March 31, 2004, Sept. 30, 2004, Dec. 30, 2004, and March 31, 2005. The Commission cautions broker dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by the company. Further, brokers and dealers should be alert to the fact that Section 12(j) provides, in pertinent part, as follows: No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked. Without admitting or denying the findings, except as to the Commission’s jurisdiction over it and the subject matter of these proceedings, in the Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934, UCAP consented to the entry of an order finding that it had failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder and revoking its registration. (Rel. 34-52322; File No. 3-11992) SEC HALTS MULTI-MILLION DOLLAR ONGOING FRAUD On August 22, the Commission obtained a temporary restraining order, asset freeze and other emergency relief in a civil fraud action filed against six defendants: Rainmaker Managed Living, LLC, a New York limited liability company; Rainmaker Managed Living, LLC, a California limited liability company; Furman & Dilmaghani P.C., a New York law firm; Alireza Dilmaghani, age 41, an attorney; Sidney F. Levine, whose age and residence are not known; and James Joseph Conway, 50, of San Pedro, Calif. The Commission’s complaint alleges that the defendants raised at least $7.03 million from investors by representing, among other things, that investor money would be kept in an attorney trust or escrow account to be used solely for purchasing and developing properties as assisted living facilities, and then, contrary to their representations, misappropriated over half the money for their own personal use and to make purported interest payments to investors. The Commission's complaint alleges that since at least August 2004, the defendants have raised over $7 million, and probably more than $8 million, from investors in an unregistered securities offering, promising a “guaranteed” 25% annual return. The defendants tell investors that they use investor funds to purchase, build and refurbish assisted living facilities for retirees, and that no management fees will be taken until the facilities are profitable. The complaint further alleges that the defendants repeatedly emphasize the key role of the associated law firm in the assisted living center project, including the fact that until the assisted living centers generate a profit, the defendants will pay the 25% annual return from other sources, such as the law firm’s revenues. Contrary to these representations, investor funds were not segregated and used as represented. Instead the defendants have made payments, out of the account in which investors deposited their funds, totaling over $3.75 million to themselves, and over $850,000 back to investors as purported interest. The Commission’s complaint alleges that all of the defendants violated the securities registration and antifraud provisions of the federal securities laws, Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b- 5 thereunder. As to Conway, the complaint further alleges that he violated the broker-dealer registration provisions of Section 15(a) of the Exchange Act. In addition to emergency relief, the Commission’s complaint seeks from each defendant preliminary and permanent injunctions, disgorgement with prejudgment interest, and a civil penalty. Acting on the Commission’s lawsuit, the Honorable S. James Otero, United States District Judge for the Central District of California, issued a temporary restraining order against Rainmaker NY, Rainmaker CA, Furman & Dilmaghani P.C., Dilmaghani, Levine, and Conway and issued orders freezing the defendants’ assets, requiring accountings from the defendants, prohibiting the defendants from destroying documents, and ordering expedited discovery. A hearing on whether a preliminary injunction should be issued against the defendants is scheduled for Sept. 6, 2005. The Commission acknowledges the assistance of the United States Attorney’s Office for the Eastern District of New York and the Federal Bureau of Investigation, which executed a search warrant on the office of Rainmaker NY and Furman & Dilmaghani P.C. on Aug. 23, 2005.
