On August 23, the Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934, of trading of the securities of Global Development and Environmental Resources, Inc. (stock symbol GDVE), at 9:30 a.m. EDT, Aug. 23, 2005, through 11:59 p.m. EDT, on Sept. 6, 2005. The Commission temporarily suspended trading in the securities of Global Development because of questions raised regarding the accuracy and completeness of information in company press releases and on the internet concerning Global Development’s officers, operations and products. Global Development, a non-reporting issuer, is quoted on the Pink Sheets under the ticker symbol GDVE. KATHERINE ADDLEMAN NAMED ASSOCIATE DISTRICT ADMINISTRATOR FOR ENFORCEMENT IN THE SEC'S FORT WORTH DISTRICT OFFICE On August 23, the Commission announced the appointment of Katherine S. Addleman as Associate District Administrator for Enforcement in the Commission's Fort Worth District Office. The District Office has jurisdiction over both enforcement and regulatory programs in a four- state area of the Southwest. Addleman, 44, joins the Fort Worth Office with more than 16 years of experience in the Commission's enforcement program investigating and litigating numerous cases alleging issuer accounting fraud, investment adviser fraud, market manipulation, brokerage firm fraud and supervisory failures, offering fraud and insider trading. She has served as the Associate District Administrator for Enforcement in the Commission's office in Atlanta, Ga., since 2004. Previously, Addleman was an Assistant Regional Director of Enforcement for the Central Regional Office in Denver, Colo., and an Enforcement Branch Chief in the Commission's Fort Worth District Office. She also served as an associate with a Dallas law firm where she specialized in securities litigation. Addleman began her legal career as an enforcement staff attorney and special counsel in the Commission's office in Philadelphia, Pa. Included among the more significant and high profile enforcement actions she has directed are the following: * investigation by the Central Regional Office staff of accounting fraud and disclosure violations by Qwest Communications International Inc. which resulted in a series of actions against the company, 22 officers and employees of Qwest, and the engagement partner at Arthur Anderson LLP, Qwest's outside auditors; * actions against Deloitte & Touche LLP, the engagement partner and the audit manager for audit failures in connection with their audit of the financial statements of Just for Feet, Inc.; * proceedings against the Coca-Cola Company relating to failures to disclose certain end-of-quarter sales practices used to meet earnings expectations; and * actions alleging insider trading in cases such as Tyson Foods, Inc and ShowBiz Pizza Time, Inc. (Rels. 34-52321; AAER-2296; File No. 3-10856) ENFORCEMENT PROCEEDINGS SEC CHARGES KMART’S FORMER CEO AND CFO WITH FINANCIAL FRAUD On August 23, the Commission filed charges against two former top Kmart executives for misleading investors about Kmart’s financial condition in the months preceding the company’s bankruptcy. According to the Commission’s complaint, former Chief Executive Officer Charles C. Conaway and former Chief Financial Officer John T. McDonald are responsible for material misrepresentations and omissions about the company’s liquidity and related matters in the Management’s Discussion and Analysis (MD&A) section of Kmart’s Form 10-Q for the third quarter and nine months ended Oct. 31, 2001, and in an earnings conference call with analysts and investors. The Commission alleges that, in the MD&A section, Conaway and McDonald failed to disclose the reasons for a massive inventory overbuy in the summer of 2001 and the impact it had on the company’s liquidity. For example, the MD&A disclosure attributed increases in inventory to “seasonal inventory fluctuations and actions taken to improve our overall in-stock position.” The Commission alleges that this disclosure was materially misleading because, in reality, a significant portion of the inventory buildup was caused by a Kmart officer’s reckless and unilateral purchase of $850 million of excess inventory. According to the complaint, the defendants dealt with Kmart’s liquidity problems by slowing down payments owed vendors, thereby effectively borrowing $570 million from them by the end of the third quarter. According to the complaint, Conaway and McDonald lied about why vendors were not being paid on time and misrepresented the impact that Kmart’s liquidity problems had on the company’s relationship with its vendors, many of whom stopped shipping product to Kmart during the fall of 2001. Kmart filed for bankruptcy on Jan. 22, 2002. The Commission’s complaint, which was filed in the United States District Court for the Eastern District of Michigan, charges Conaway and McDonald with violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and aiding and abetting violations of Sections 10(b) and 13(a) of the Exchange Act and Rules 10b-5, 13a-13, and 12b-20 thereunder by Kmart, and seeks as relief permanent injunctions, disgorgement with prejudgment interest, civil penalties and officer and director bars. The Commission acknowledges the assistance of the United States Attorney's Office for the Eastern District of Michigan and the Federal Bureau of Investigation. Michigan, filed Aug. 23, 2005] (LR-19344; AAER-2295) SEC CHARGES BARRY BINGHAM AND BINGHAM CAPITAL MANAGEMENT CORPORATION WITH SECURITIES FRAUD, AND INSTITUTES ADMINISTRATIVE PROCEEDING IN THE MATTER OF BARRY ALAN BINGHAM On August 23, the Commission filed a complaint in the United States District Court for the Northern District of Georgia against Barry Alan Bingham and Bingham Capital Management Corporation. The Commission's complaint alleges that, from approximately April 2001 to approximately November 2002, Bingham used misrepresentations and omissions of material fact to defraud at least 22 investors in Bingham Growth Partners, L.P. (Growth Partners), a hedge fund that Bingham created and managed through Capital Management, an unregistered investment adviser. The complaint further alleges that, over the lifetime of Growth Partners, Bingham offered and sold at least $1,826,218 worth of shares in the Fund, at least $459,483 worth of which were offered and sold on the basis of Bingham’s misrepresentations to investors about the Fund’s past returns. Additionally, the complaint alleges that, between July 2001 and November 2002, Bingham misappropriated approximately $141,637 of Growth Partners’ assets, including as much as $34,638 in client assets as “soft dollar credits” generated from Growth Partners’ trading commissions. The complaint alleges that, by November 2002, the assets of Growth Partners had been wholly depleted by a combination of Bingham’s trading losses and his misappropriations. The Commission charged Bingham and Capital Management with violating of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1) and (2) of the Investment Advisers Act. The Commission seeks against Bingham and Capital Management permanent injunctive relief from future violations, disgorgement of ill-gotten gains with prejudgment interest, and civil penalties. Also, on August 23, the Commission announced the issuance of an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940 against Bingham based on his criminal conviction in U.S. v. Barry Bingham, 1:05-CR-0184-BBM (N.D. Ga.). In the Order, the SEC’s Division of Enforcement alleges that, on April 28, 2005, Bingham entered a plea of guilty to a single count of felony securities fraud in violation of Title 15 of the United States Code, Sections 78j(b) and 78j(ff). The criminal information to which Bingham pled guilty alleged that, from in or about September 2001 through in or about August 2002, Bingham fraudulently induced various individuals to invest in Growth Partners. On June 30, 2005, Bingham was sentenced to 12 months and one day in prison followed by three years of supervised release, fined $1,000, and ordered to pay criminal restitution of $105,572.00. The Division of Enforcement further alleges that, during a portion of his misconduct, from approximately August 2000 through November 2002, Bingham, individually and acting through Capital Management, engaged for compensation in the business of advising clients on investing in securities. Bingham was also associated with a broker-dealer registered with the Commission from approximately April 2002 through at least November 2002. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Bingham an opportunity to respond to these allegations, and to determine what sanctions, if any, are appropriate in the public interest. The Order requires the Administrative Law Judge to issue an initial decision no later that 210 days from the date of service of this Order, pursuant to Rule 360(a)(2) of the Commission's Rules of Practice. Barry Alan Bingham and Bingham Capital Management Corporation, Civil Action No. 1:05-CV-2187, NDGA Aug. 23, 2005] (LR-19345) FORMER GRUTTADAURIA ASSISTANT LAURENE ENGLISH ENJOINED IN CIVIL FRAUD ACTION AND BARRED FROM SECURITIES INDUSTRY The Securities and Exchange Commission announced today that it has settled its pending fraud litigation against Laurene U. English, the longtime sales assistant to broker Frank D. Gruttadauria. Under the terms of the final judgment, signed by U.S. District Court Judge Patricia A. Gaughan, English is permanently enjoined from violating the antifraud provisions of the federal securities laws and ordered to pay disgorgement and prejudgment interest. Further, in a separate administrative proceeding, the Commission today barred English from the securities industry. The Commission originally sued Gruttadauria in February 2002 for perpetrating a massive fraud over a fifteen-year period against scores of his customers (LR-17369). In June 2002, the Commission filed an amended complaint alleging that English aided and abetted Gruttadauria's scheme (LR-17590). In the amended complaint, the Commission alleged that English knowingly provided substantial assistance to Gruttadauria by, among other things, assisting in the preparation of false account statements, providing false information to clients regarding the values of their accounts, processing withdrawal requests for clients whose accounts had been depleted, and facilitating unauthorized transfers of funds. The final judgment entered on Aug. 17, 2005 in the United States District Court for the Northern District of Ohio permanently enjoins English from future violations of Sections 17(a)(1), (2) and (3) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Court ordered that English pay $55,000 of the $114,847 in disgorgement and prejudgment interest for which she is liable, but waived the remaining amount and did not order a civil penalty based on English’s sworn financial statements. Based on the entry of the injunctions, the Commission today issued an Order Instituting Administrative Proceedings Pursuant to Sections 15(b) and 15B(c)(4) of the Exchange Act and Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against English. The Commission ordered that English be barred from association with any broker, dealer, municipal securities dealer, or investment adviser. English consented to both the filing of the final judgment in the civil injunctive action and the issuance of the Commission’s Order. In March 2004, the Court permanently enjoined Gruttadauria and two entities that he created to facilitate his fraud from violating certain antifraud provisions of the federal securities laws. The Court also ordered Gruttadauria to disgorge monies he misappropriated and compensation he received during the fraud (LR-18678). In a separate administrative proceeding, the Commission barred Gruttadauria from associating with any broker-dealer, municipal securities dealer, or investment adviser (Administrative Proceeding Release No. 34-49589).
