SEC NEWS DIGEST Issue 2005-156 August 15, 2005 COMMISSION ANNOUNCEMENTS SEC HOLDS 24TH ANNUAL SMALL BUSINESS CAPITAL FORMATION FORUM WITH ADVISORY COMMITTEE MEETING The Securities and Exchange Commission’s annual Small Business Capital Formation Forum will be held in conjunction with a meeting of the Commission’s Advisory Committee on Smaller Public Companies, Sept. 19- 20, 2005 in San Francisco. “The Advisory Committee is considering different regulatory requirements for firms below an agreed upon threshold of market capitalization, or perhaps some other measurement of size,” said SEC Chairman Christopher Cox. “As we work to protect investors, I expect that the SEC and the Public Company Accounting Oversight Board will give significant weight to the findings and recommendations of the Advisory Committee, and that the policy-making process will benefit from the discussions in San Francisco. I have urged the Advisory Committee’s leaders to conduct their work with a view to protecting investors, as they consider whether the costs imposed by the current securities regulatory system for smaller companies are proportionate to the benefits. I look forward to full reports on all aspects of the San Francisco meetings.” The annual Capital Formation Forum will be Monday, September 19. The Advisory Committee meeting begins Monday and continues Tuesday. Both events are at the Hyatt at Fisherman’s Wharf. The SEC plays host to the annual Forum under a 1980 Congressional mandate to give smaller company representatives a chance to communicate their views on capital formation to senior government officials. The SEC organized the Advisory Committee on Smaller Public Companies in March 2005 to examine the impact of the federal securities laws on smaller companies, including the impact of the Sarbanes-Oxley Act of 2002, and to recommend action. The Committee’s final report is due in April 2006. Roundtable sessions will be held Monday morning at the concurrent meetings. Members of the Advisory Committee will participate in the roundtable discussions, which will include discussion of recommendations that the Advisory Committee might make to the Commission. The Forum schedule includes breakout group sessions to be held Monday afternoon to develop recommendations to improve small business capital formation through legislation, regulation, and private action. Forum recommendations will be presented to the Advisory Committee Tuesday morning, and considered in drafting the final report to the SEC. All Advisory Committee meetings will be open to the public and broadcast on the Internet at www.sec.gov. Forum sessions include both public and private meetings. (Press Rel. 2005-115) HAROLD DEGENHARDT, HEAD OF THE SEC'S FORT WORTH OFFICE, TO LEAVE THE COMMISSION Harold F. Degenhardt, District Administrator of the Securities and Exchange Commission's Fort Worth District Office, has announced that he will leave the Commission in September to become a partner in the Dallas office of the law firm of Fulbright & Jaworski, LLP. Mr. Degenhardt became the District Administrator of the Fort Worth Office in May 1996. In that role, he has been responsible for the agency's enforcement and examination programs in a four state area of the Southwest. Prior to joining the Commission, he was a partner in Gibson, Dunn & Crutcher's Dallas Office. As a member of its Litigation Department, Mr. Degenhardt specialized in general commercial, securities, antitrust, insurance and product liability litigation. Prior to that, Mr. Degenhardt was a litigation associate from 1973 to 1977 with Mudge, Rose, Guthrie & Alexander in New York City and a litigation partner with Coke & Coke in Dallas, Texas. Under his leadership, the staff of the Fort Worth Office has achieved an exemplary record of productivity in its program functions, has developed an active investor education program and has forged effective partnering relationships with foreign securities regulators as well as with state securities regulators and other law enforcement agencies. During his tenure, Mr. Degenhardt oversaw the handling of high profile matters involving insider trading, accounting and disclosure fraud, stock manipulation and broker-dealer and investment adviser/investment company violations. The Fort Worth Office also has maintained an aggressive and effective examination program that has resulted in a number of enforcement referrals to the District Office's enforcement staff. Among the more notable enforcement cases brought by the Fort Worth Office during this period were In the Matter of Dynegy Inc. -- which involved an action against the company and certain corporate officers and employees for the fraudulent use of special purpose entities in violation of GAAP and pre-arranged "wash sales" or "round-trip" energy transactions; In the Matter of i2 Technologies, Inc. -- which involved a $1 billion misstatement of software license revenue in violation of GAAP; In the Matter of Aim Advisors, et al and SEC v. Mutuals.com et. al. involving market timing and/or late trading; In the Matter of Fleming Companies -- which involved fraudulent earnings overstatements by this major grocery wholesaler and which also involved actions against certain of its vendors for their role in the fraud; In the Matter of Royal Dutch Petroleum Company and "Shell" Transport and Trading Company, p.l.c. -- which involved a fraudulent 4.5 billion barrels overstatement of proved hydrocarbon reserves; a $6.6 billion overstatement of the standardized measure of future cash flows and the material misstatement of reserve replacement ratios, which are key performance indicators in the oil and gas industry; and Report of Investigation Pursuant to 21 (a) of the Securities Exchange Act of 1934 and Commission Statement on the Relationship of Cooperation to Agency Enforcement Decisions -- this milestone Commission report arose from a Fort Worth case, which resulted in no charges against a company as a result of its model cooperation with the Commission, once the misconduct was discovered. Linda Thomsen, Director of the SEC's Enforcement Division, stated, "Hal has played a critical role in the success of the Fort Worth Office's enforcement and examination programs over the past several years. Under his leadership and guidance, the Fort Worth Office has initiated a number of important cases that have made our markets safer for investors. " (Press Rel. 2005-116) ENFORCEMENT PROCEEDINGS SEC CHARGES JOHN AMORE, RALPH CASBARRO, DAVID G. GHYSELS, JR., KENNETH E. MAHAFFY, JR., AND TIMOTHY O’CONNELL WITH SECURITIES FRAUD On August 15, the Commission filed a civil injunctive action in the United States District Court for the Eastern District of New York alleging securities fraud against John J. Amore, the former CEO of A.B. Watley Group, Inc.; Ralph D. Casbarro, a former broker at Citigroup Global Markets, Inc.; David G. Ghysels, Jr., a former broker at Lehman Brothers, Inc.; Kenneth E. Mahaffy, Jr., a former broker at Merrill Lynch, Pierce, Fenner, & Smith, Inc. and Citigroup Global Markets, Inc.; and Timothy J. O’Connell, a former broker at Merrill Lynch. The Commission’s complaint alleges that Casbarro, Ghysels, Mahaffy, and O’Connell regularly provided Amore with confidential information about unexecuted customer orders, and Amore, along with day traders under his supervision, then traded ahead of those orders. The complaint was filed against Amore, age 42, a resident of Manhasset, N.Y. From approximately February 2002 through September 2003, Amore was the CEO of A.B. Watley Group. Amore, among others at A.B. Watley Group and its broker-dealer subsidiary A.B. Watley, Inc. (A.B. Watley), was responsible for establishing and managing the day trading desk at A.B. Watley. Casbarro, age 43, is a resident of Bayside, N.Y. From February 1995 through March 2005, Citigroup employed Casbarro in an office in New York City. Casbarro has had a Series 7 license since January 1995. Ghysels, age 47, is a resident of West Palm Beach, Fla. From March 2001 through March 2003, Lehman employed Ghysels in its Palm Beach, Fla., office. From April 2003 through May 2005, Citigroup employed Ghysels in its Boca Raton, Fla., office. Ghysels has had a Series 7 license since November 1983. Mahaffy, age 50, a resident of Huntington, N.Y. From December 1997 through February 2003, Merrill Lynch employed Mahaffy in its Garden City, N.Y., office. From February 2003 through June 2005, Mahaffy was employed as a broker at Citigroup in its Melville, N.Y., office. Mahaffy has had a Series 7 license since March 1997. O’Connell, age 40, a resident of Carle Place, N.Y. From August 1997 through February 2005, Merrill Lynch employed O’Connell in its Garden City, N.Y., office. Mahaffy and O’Connell established a partnership at Merrill Lynch that lasted until Mahaffy’s departure from the company. O’Connell has had a Series 7 license since July 1995. More specifically, the complaint alleged the following. Between at least June 2002 through September 2003, Casbarro, Ghysels, Mahaffy and O’Connell frequently allowed the traders at A.B. Watley to listen to squawk boxes, internal broadcast systems used by the brokers’ employers. Traders at Citigroup, Lehman and Merrill Lynch often announced customer block orders over their firms’ respective squawk boxes. Large orders can affect the market price of a stock by affecting the supply or demand for the stock. On more than 400 occasions, the day traders at A.B. Watley used the information obtained from Casbarro, Ghysels, Mahaffy and O’Connell to trade ahead of customer block orders. For example, shortly before 9:52 a.m. on July 24, 2002, while Casbarro was providing an open phone line between his office at Citigroup and Watley’s headquarters, a Citigroup trader announced a block order to sell Noble Corp. stock over the Citigroup squawk box. From 9:52 a.m. through 9:55 a.m., over ten Watley traders sold short at least 36,000 shares of Noble Corp. stock at an average price of approximately $28.63. From 9:56 a.m. through 9:57 a.m., Citigroup executed at least one large sell order of Noble Corp. stock. From 9:56 a.m. through 9:57 a.m., the Watley traders purchased at least 36,000 shares of Noble Corp. stock at an average price of approximately $28.10 per share. The fall in share price resulted in the Watley traders making a gross profit of at least $19,000. Overall, Amore and the day traders at A.B. Watley made more than $650,000 in gross profit from this scheme. Amore and the day traders compensated Casbarro, Ghysels, Mahaffy and O’Connell for the confidential order flow information through gross commissions totaling approximately $290,000. Additionally, Amore, directly or through his subordinates, made cash payments to Casbarro and Mahaffy. The Commission charged Amore, Casbarro, Ghysels, Mahaffy, and O’Connell with violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission seeks a permanent injunction against future violations of these provisions, disgorgement plus prejudgment interest, and civil penalties.
