REAGAN, 40TH PRESIDENT President Bush has announced the closing of government departments and agencies on June 11, 2004, as a mark of respect for Ronald W. Reagan, the 40th President of the United States, who died on Saturday, June 5, 2004. Like other Federal government offices and independent agencies and consistent with Executive Order 11582, the SEC has confirmed that it will be closed. The SEC's EDGAR filing system will not accept filings on Friday, June 11, and the SEC's public reference room in Washington, D.C. will not be open that day. For purposes of filing materials with the SEC, June 11, 2004, will be treated as a federal holiday. For example, any filings otherwise required to be made on or before June 11, 2004, will be required to be made on or before June 14, 2004. REAGAN The Securities and Exchange Commission has coordinated the organized securities markets and exchanges concerning the closing of the securities markets on Friday, June 11, in observance of the national day of mourning for President Ronald W. (Press Rel. 2004-77) ENFORCEMENT PROCEEDINGS IN THE MATTER OF RHINO ECOSYSTEMS, INC. An Administrative Law Judge has issued an Order Making Findings and Imposing Sanction By Default (Default Order) in Rhino Ecosystems, Inc. The Order Instituting Proceedings alleged that Rhino Ecosystems, Inc., failed to file required annual and quarterly reports in violation of Section 13(a) of the Securities Exchange Act of 1934 and Exchange Act Rules 13a-1 and 13a-13. The Default Order finds these allegations to be true and revokes the registration of all securities of Rhino Ecosystems, Inc. (Rel. 34-49816; File No. 3-11420) IN THE MATTER OF ISAAC SOFAIR On June 4, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Sections 203(e) and 203(f) of the Investment Advisers Act of 1940, Making Findings and Imposing Remedial Sanctions (Order) against Isaac Sofair. The Order finds that on March 17, 2003, an Order of Permanent Injunction and Judgment was entered by consent against Sofair, permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 204, 206(1), 206(2), 206(4), and 207 of the Advisers Act, and Rules 204- 2(a)(1), (2), (6), (7) and (8), 204-2(b), 206(4)-1(a)(5) and 206(4)-2(a) thereunder, in the civil action entitled SEC v. Isaac Sofair, et al., Civil Action No. 02-CV-7444 (GEL), in the U.S. District Court for the Southern District of New York. Subsequently, on May 19, 2004, a Final Judgment and Order was entered against Sofair, requiring that he disgorge $2.3 million plus prejudgment interest. Payment of disgorgement was waived based on Sofair's sworn financial affidavit. The Commission's complaint alleged that from at least September 1997 until May 2001, Sofair, operating through Landway Estates, Inc. (Landway), an entity he owned and controlled, engaged in a scheme to defraud investors, ultimately obtaining approximately $4.7 million from ten advisory clients and misappropriating approximately $2.3 million from two of them. The complaint alleged that Sofair induced investors to become his advisory clients by falsely portraying himself as a wealthy and successful international investment adviser, by falsely portraying Landway as a wealthy and successful international investment advisory firm that catered to high net worth clients, and by making numerous other material misrepresentations. The complaint also alleged that once Sofair obtained the funds, he commingled nearly all of the money in a single brokerage account held in Landway's name and controlled by him, and used the funds to trade aggressively in the stock market and to pay his personal expenses, including, to repay credit card and other personal debt, to purchase an automobile, to pay rent on two penthouse apartments, and to purchase household furnishings, art, wine and to finance trips. The complaint further alleged that Sofair repeatedly filed false investment adviser registration forms with the Commission, and failed to maintain accurate and complete books and records. Based on the above, the Order revokes Respondent Sofair's registration as an investment adviser and bars him from association with any investment adviser. Sofair consented to the issuance of the Order without admitting or denying any of the allegations in the civil injunctive action. (Rel. IA-2245; File No. 3-11509) COMMISSION REMANDS NASD'S DENIAL OF APPLICATION BY PETERS SECURITIES CO., LP TO EMPLOY REUBEN PETERS The Commission has remanded NASD's denial of an application by NASD member firm Peters Securities Co., LP to employ Reuben D. Peters as a registered representative to NASD for further consideration. Peters is subject to a statutory disqualification as a result of his involvement from 1993 through 1995 in the manipulation in a stock for which Peters Securities was the primary market maker. Peters consented to the entry of a permanent injunction and also agreed to a settlement of a parallel administrative proceeding brought by the Commission under which the Commission suspended Peters for two months. In its decision denying Peters Securities' application, NASD found that Commission precedent in Paul Edward Van Dusen and Arthur H. Ross were not applicable. In both Van Dusen and Ross, respondents were subject to a statutory disqualification because they had been enjoined. In administrative proceedings, the Commission had also imposed bars with a right to reapply. The Commission held that, while re-entry would not be automatic when an application was submitted after the specified period for a conditional bar had passed, it was inconsistent with the remedial purposes of the Exchange Act to deny an application for reinstatement in the absence of new information indicating the inability of the applicant to be employed in a manner consonant with the public interest. The Commission found that, contrary to NASD's determination, the rationale of Van Dusen and Ross applies to a person who was suspended rather than given a bar with a right to reapply. The Commission concluded that, since NASD's decision indicates that it did not apply Van Dusen and Ross, it was unclear whether NASD applied its rules consistent with the purposes of the Exchange Act and thus it was necessary to remand the case to NASD for reconsideration. (Rel. 34- 49819; File No. 3-11277) SEC CHARGES A BOCA RATON BROKER-DEALER/INVESTMENT ADVISER, ITS PRINCIPAL AND ONE OF ITS BROKERS WITH FRAUD IN CONNECTION WITH MUTUAL FUND MARKET TIMING AND LATE TRADING The Commission announced today that on June 4 it filed a civil securities fraud action in the U.S. District Court for the Southern District of Florida, against Geek Securities Inc. (Geek Securities), Geek Advisors, Inc. (Geek Advisors), Kautilya (Tony) Sharma (Sharma), president and owner of Geek Securities and Geek Advisors and Neal R. Wadhwa (Wadhwa), a Geek Securities registered representative. According to the SEC's complaint, the defendants engaged in pervasive market timing and late trading on behalf of their institutional clients. The defendants defrauded mutual funds and their shareholders by engaging in a series of activities designed to circumvent the restrictions on market timing by those mutual funds and systematically engaged in late trading in those mutual fund shares. With respect to the defendants' market timing scheme, the SEC alleges that, between at least September 2001 and November 2003, mutual fund companies blocked Geek Securities and Geek Advisors clients from trading in their mutual funds due to their market timing activities. In response, according to the Commission's complaint, Geek Securities and Geek Advisors, through Sharma and Wadhwa, used various deceptive activities to evade detection of ongoing market timing. The SEC's complaint also alleges that, during the same time period, Geek Securities and Geek Advisors, through Sharma and Wadhwa, participated in a systematic scheme to late trade mutual fund shares on behalf of some of its clients. According to the SEC's complaint, Geek Securities and Geek Advisors received trading instructions from customers after 4:00 p.m. EST and executed those trades as if the trading instructions had been received prior to that time. According to the SEC, Geek Securities and Geek Advisors also attempted to conceal their late trading activities. The Commission's complaint alleges that Geek Securities, Geek Advisors, Sharma and Wadhwa violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 ("Exchange Act") and Rule 10b-5 thereunder. The complaint also alleges that Geek Securities violated Section 15(c)(1) of the Exchange Act and that Sharma and Wadhwa aided and abetted Geek Securities' violation of Section 15(c)(1) of the Exchange Act.
