(Press Rel. 2003-60) RULES AND RELATED MATTERS ELECTRONIC STORAGE OF BROKER-DEALER RECORDS On May 7, the Commission issued an interpretative release with respect to a provision in Rule 17a-4 (17 CFR 240.17a-4) governing the use of electronic record storage systems by broker-dealers. Specifically, the Commission interpreted the provision in paragraph (f)(2)(ii)(A) of Rule 17a-4 that requires such systems to preserve the records exclusively in a non-rewriteable, non-erasable format. The Commission stated in the release that Rule 17a-4 does not require that a particular type of technology or method be used to achieve this requirement. Under the interpretation, a broker-dealer would not violate the rule if it used an electronic storage system that prevents the overwriting, erasing or otherwise altering of a record during its required retention period through the use of integrated hardware and software control codes. (Rel. 34-47806) ENFORCEMENT PROCEEDINGS IN THE MATTER OF TIMOTHY NOLAN On May 6, the Commission instituted and simultaneously settled public cease-and-desist proceedings against Timothy E. Nolan (Nolan), the former president and chief operating officer of Cybear, Inc. (Cybear), who was a cause of Cybear's violations of certain issuer reporting provisions of the federal securities laws. Nolan, a resident of Newtown, Pennsylvania, consented to the entry of the cease-and-desist order (Order) against him without admitting or denying the Commission's allegations. The Order finds that in the first two quarters of 2000 (the relevant time period), Cybear, which at that time was a more than 70% owned subsidiary of Andrx Corporation (Andrx), accounted for revenues derived from a joint venture between Andrx and Cybear in a manner that did not conform with generally accepted accounting principles (GAAP). Pursuant to that joint venture, which was called Cybearclub LC (Cybearclub), Cybear sought to sell products over its Internet website that were distributed by Andrx. Cybear generated nearly all of its revenues during the relevant time period from the joint venture, and in its periodic filings with the Commission, described those revenues as "e- commerce revenues" or revenues derived from "orders placed through the Internet." According to the Commission's Order and the complaint in its civil action, however, Cybear employees routed telephone orders generated by Andrx's telemarketing department onto Cybear's Internet website. These orders were then input onto Cybear's website by its employees. According to the Commission's Order and the civil complaint, these orders should have been recognized by Andrx, and accounted for a majority of Cybear's reported revenues during the relevant time periods. The Commission's Order further finds that in July 2000, Nolan and other members of Cybear and Andrx's senior management, learned that telemarketing orders were being entered onto Cybear's website and investigated the matter. However, Cybear continued to describe these sales as revenues derived from "orders placed through the Internet" in its Form 10-Q for the quarter ended June 30, 2000. Cybear also did not include this information in a proxy solicitation sent to shareholders in connection with a corporate reorganization and tracking stock plan that created a separate tracking stock for Cybear. These actions resulted in Cybear's violations of the books and records, financial reporting and proxy solicitation provisions of the federal securities laws. The Commission's Order finds that Nolan was a cause of Cybear's financial reporting violations. Based upon this conduct, the Commission ordered Nolan to cease and desist from causing any violations and any future violations of Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a-13 and 12b-20 thereunder. (Rel. 34-47802; AAE Rel. 1772; File No. 3-11106) SEC SETTLES RULE 102(e) PROCEEDING AGAINST MICHAEL DROGIN, CPA On May 6, the Commission settled a pending administrative proceeding pursuant to Rule 102(e) of the Commission's Rules of Practice against Michael R. Drogin. The Commission previously instituted the proceeding on a contested basis on April 22, 2002, (Rel. 34-45797; AAER No. 1545). Without admitting or denying the Commission's findings, Drogin consented to an order finding that he engaged in improper professional conduct and denying him the privilege of appearing or practicing before the Commission as an accountant, with a right to apply for reinstatement after two years. The Commission's action stems from Drogin's audit of Teltran International Group Ltd.'s 1999 financial statements. Drogin, a partner with the accounting firm Liebman, Goldberg & Drogin, LLP, based in Garden City, New York, issued an audit report on behalf of his firm stating that Teltran's 1999 financial statements were prepared in conformity with generally accepted accounting principles and that the audit was conducted in accordance with generally accepted auditing standards. The Commission's Order finds that Teltran's 1999 financial statements were materially misstated and that Drogin failed to obtain sufficient competent evidential matter to support his unqualified audit opinion. Specifically, the Order finds that Teltran recorded the acquisition of another company on June 1, 1999, before it had effective control of the company. As a result, Teltran incorrectly included pre-acquisition revenue from the other company in its financial results and materially overstated the revenue that it reported in its June 30 and Sept. 30, 1999, Forms10-Q and Dec. 31, 1999, Form 10-K. The Order also finds that Drogin did not audit the issue of effective control or document any audit procedures relating to that issue in his workpapers. The Order further finds that there were several "red flags" indicating that Teltran's accounting for the acquisition was not appropriate under generally accepted accounting principles, including that: (i) the contract to purchase the other company was signed on July 15, 1999; (ii) the closing did not occur until Aug. 16, 1999; and (iii) a material amount of the incorrect revenue came from a related acquisition that never closed. The Commission previously brought settled enforcement actions against Teltran and its CEO (See Litigation Release No. 17481; Release Nos. 33- 8093 and 34-45796; AAER No. 1543, April 22, 2002). (Rel. 34-47804; AAE Rel. 1774; File No. 3-10762) PUBLIC ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST STANSBURY HOLDINGS CORPORATION Pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act), the Commission instituted public administrative proceedings today against Stansbury Holdings Corporation (Stansbury), a former Utah corporation, to determine whether it has failed to comply with Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13 thereunder, and whether the registration of its common stock pursuant to Section 12(g) of the Exchange Act should be revoked or suspended. In the Order Instituting Public Proceedings (Order), the Division of Enforcement alleges, among other things, that Stansbury failed to file its last three mandatory annual or quarterly reports, including its Form 10-K for the year ended June 30, 2002, and Forms 10-Q for the quarters ended September 30, 2002 and December 31, 2002; and that Stansbury filed its Form 10-K for the year ended June 30, 2001, after the due date for the report. The Division further alleges that Stansbury's Form 10-Q for the quarter ended March 31, 2002, failed to disclose the final judgment entered against Stansbury and the possible loss of one of Stansbury's mining properties even though that property accounted for at least half of the total asset value shown on Stansbury's balance sheet. In addition, the Division alleges that, although Stansbury was involuntarily dissolved as a corporation on July 11, 2001, the company made several periodic filings with the Commission after that date falsely representing that it was a Utah corporation and not disclosing the dissolution. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Stansbury with an opportunity to dispute these allegations, and to determine whether it is necessary and appropriate for the protection of investors to revoke or suspend the registration of Stansbury stock. (Rel. 34-47807; File No. 3-11108) RICHARD RYAN SETTLES WITH THE SEC IN CASE INVOLVING FRAUDULENT TENDER OFFER FOR ENRON The Commission filed an action on May 6 against Richard M. Ryan, of New Lisbon, Wisconsin, President and CEO of Standard Power and Light, an Oakbrook, Illinois company, for making fraudulent statements in connection with Standard's intent to purchase Enron Corporation in a tender offer. On November 30, 2001, Ryan filed a notice with the SEC and issued a press release announcing that Standard, an Oakbrook, Illinois company with no annual revenues or substantial assets, planned to purchase the majority of shares Enron, costing the company approximately $750 million to $1 billion. Ryan attempted to convince investors that his plan to purchase Enron was legitimate by making statements in the press that he had firm financing commitments and a management team already in place to complete the tender offer. These statements proved to be false. Without admitting or denying the allegations in the Commission's Complaint, Ryan consented to the entry of a judgment that permanently enjoins him from future violations of Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rules 10b-5 and 14e-8. The Commission imposed no civil penalty against Ryan based upon Ryan's sworn financial information. [SEC v. Richard M. Ryan, Civil Action No. 03 C 3018, N.D.
