CHAIRMAN DONALDSON MEETS WITH JAPAN MINISTER OF STATE FOR FINANCIAL SERVICES ITO SEC Chairman William H. Donaldson and Japan Minister of State for Financial Services Tatsuya Ito met today and discussed the importance of compatible approaches to furthering investor protection and the importance of expanding the use of high-quality global accounting standards. Both also expressed interest in a high-level bilateral dialogue that would enhance the quality of regulatory discussions and effectively address the key issues for reaching shared objectives between the SEC and the Japanese Financial Services Agency (JFSA). According to Ethiopis Tafara, Director of the SEC’s Office of International Affairs, “Chairman Donaldson and Minister Ito affirmed their support for the convergence of accounting standards and agreed that dialogue between the US Financial Accounting Standards Board (FASB) and the Accounting Standards Board of Japan (ASBJ) is an important element in the overall convergence program. They also acknowledged the importance of regular, high-level discussion between the SEC and the JFSA in the interest of regulating global markets and promoting the highest levels of investor protection.” (Press Rel. 2005-71) ENFORCEMENT PROCEEDINGS IN THE MATTER OF AMERICAN ELECTRIC POWER COMPANY, INC. An Administrative Law Judge has issued an Initial Decision in the matter of American Electric Power Co., a matter brought under the Public Utility Holding Company Act of 1935 (the Act). Previously, the Securities and Exchange Commission (Commission) approved the merger of two registered public-utility holding companies, American Electric Power Company, Inc. (AEP), of Ohio, and Central and South West Corporation (CSW), of Texas. On appeal of that decision, the United States Court of Appeals for the District of Columbia Circuit vacated and remanded the matter for failure to meet two requirements of a “single integrated public-utility system” under the Act. In response, the Commission ordered a hearing before an administrative law judge for further supplementation of the record and to make findings on the two requirements found wanting by the court of appeals. The Initial Decision finds that the combined AEP/CSW system does not constitute a “single integrated public-utility system” for failure to be confined in its operations to a single area or region under the Act. Accordingly, the Initial Decision denies the approval of the merger of AEP and CSW. (Initial Decision No. 283; File No. 3-11616) ROBERT BERTI REINSTATED TO APPEAR AND PRACTICE BEFORE THE COMMISSION AS AN ACCOUNTANT Pursuant to Rule 102(e)(5)(i) of the Commission's Rules of Practice, Robert R. Berti has applied for and been granted reinstatement of his privilege to appear and practice before the Commission as an accountant. Mr. Berti, who was denied the privilege of appearing or practicing before the Commission on July 13, 1993, pursuant to a settled proceeding, has represented that he has complied and will continue to comply with the terms of the order that denied him from appearing or practicing before the Commission as an accountant. (Rel. 34-51647; AAE Rel. 2241; File No. 3-8093) SEC SETTLES WITH U.S. POSTAL WORKER WHO TIPPED AND TRADED ON INSIDE INFORMATION FROM BUSINESS WEEK MAGAZINE The Commission announced today that it reached a settlement with Davi Thomas, a former U.S. Postal Service employee now residing in Kerala, India for allegedly illegally tipping and trading on misappropriated information about companies featured in the “Inside Wall Street” column of Business Week magazine. The Commission alleged that Thomas, who lived in Mount Vernon, N.Y. during the time of the relevant conduct in the late 1990s, illicitly obtained the information from the magazine, which he intercepted from the U.S. Mail on its way to subscribers and news stands, in violation of postal regulations. Thomas shared information from the “Inside Wall Street” column with a friend and traded in his own accounts. Thomas’s trading in stocks mentioned in a year-and-a-half period enabled him to reap profits of $153,711.99. Thomas’s friend, Lionel Thotam, who settled with the Commission in October 2002 for insider trading, profited by $77,213.38 from inside information Thomas provided him. Under the terms of the settlement, Thomas has consented, without admitting or denying the allegations of the Commission’s complaint, to the entry of a final judgment that (1) permanently enjoins Thomas from future violations of Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder, (2) orders Thomas to disgorge the $153,711.99 in profits and to pay prejudgment interest in the sum of $273,503.73, and (3) orders Thomas to pay a civil penalty of $153,71.99. The relief was ordered by Judge Arthur D. Spatt of the U.S. District Court for the Eastern District of New York. According to the complaint, from August 1996 through January 1999, Thomas misappropriated information from Business Week magazine before its public release by reading the Inside Wall Street column in the magazine as it passed through the Mount Vernon, New York postal sorting facility on its way to subscribers and news stands. He tipped Thotam to the information. Thotam paid Thomas $10,000 for Thomas’s efforts, and updated Thomas on his profits from the illegal trades. Starting in June 1997 and continuing through January 1999, Thomas also traded in his own accounts in the stocks of the companies mentioned in the Inside Wall Street column. In almost all instances, Thotam and Thomas bought stock of companies favorably mentioned in the column on Thursday afternoons and sold the stock after the price increased the next day, after the column had been published. Thomas’s profits amounted to $154,268.61. By tipping Thotam to material, nonpublic information in breach of confidentiality requirements of postal regulations, and by trading on such information himself, Thomas violated the antifraud provisions of the Exchange Act. Davi Thomas, 03-CV-4087, ADS, EDNY] (LR- 19212) SEC SUES TELEMARKETERS FOR FRAUDULENT “WRONG NUMBER” STOCK TIPS The Commission today filed two complaints in the U.S. District Court of the District of Columbia charging two voicemail broadcasters and associated individuals with the nationwide broadcasting of hundreds of thousands of fraudulent “wrong number” stock tip messages designed to deceive each recipient into believing the caller had dialed his number by mistake and that he was the unintended recipient of a “hot” stock tip meant for a friend of the caller. The Commission filed the complaints in two separate actions, the first concerning the original “wrong number” scheme and the second concerning a similar, copycat scheme. In one action, the Commission charges Michael O’Grady and two affiliated Augusta, Georgia-based telemarketing companies, Telephone Broadcasting Company, LLC (TBC) and Telephony Leasing Corporation, LLC (TLC), with broadcasting “wrong number” stock tips touting the stocks of six small, thinly-traded companies. Without admitting or denying the allegations made in the Commission’s complaint, O’Grady consented to a final judgment ordering him to pay $50,786 in disgorgement and prejudgment interest and a $25,000 penalty, and all three defendants consented to being permanently enjoined from violating Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. In a second action, the Commission charges Peter S. Cahill, the entity he controls, Clearlake Venture Group, and voicemail broadcaster David E. Whittemore and his company, Whittemore Management, Inc. (WMI), with a copycat “wrong number” message fraud promoting the shares of two small, thinly traded companies. The Commission’s complaint against Whittemore, WMI, Cahill and Clearlake seeks civil penalties, disgorgement of all ill-gotten gains plus prejudgment interest, and permanent injunctions barring future violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder against all four defendants. That complaint is pending in federal court. The Commission’s complaint against O’Grady, TBC and TLC charges all three defendants with violating Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. In particular, the Commission’s complaint alleges that: * The “wrong number” scheme was designed so that several individuals, including a Longwood, Florida-based promoter and several Houston, Texas-based promoters could profit by selling shares through a Tampa, Florida-based broker-dealer during the buying frenzy created by the messages. * O’Grady used his knowledge of the “wrong number” tips to trade in three of the touted companies, realizing a profit of $9,415. * The “wrong number” messages were recorded using the “voice talent” of the wife of an Altamonte Springs, Florida-based promoter who had hired the defendants to broadcast the messages. Also today, in a related criminal proceeding, the United States Attorney’s office for the District of Columbia announced that O’Grady has pled guilty to obstruction of justice charges stemming from the message scheme. The Commission’s complaint against Whittemore, WMI, Cahill and Clearlake charges all four defendants with violating Section 10(b) of the Exchange Act and Rule 10b-5 thereunder and charges Whittemore and WMI with aiding and abetting Cahill and Clearlake’s violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. That complaint alleges that WMI received cash and stock payments for broadcasting the messages while Cahill sold approximately 680,000 shares of one of the touted stocks while the messages were being broadcast, generating proceeds of $508,000. The Commission would like to acknowledge the assistance of the United States Attorney for the District of Columbia, the Washington Division of the United States Postal Inspection Service, NASD, and the Division of Securities of the Wisconsin Department of Financial Institutions. Whittemore, et al., Civil Action No. 05CV00869 (D.D.C.)] (LR-19213); (Press Rel. 2005- 70) COMMISSION OBTAINS TRO TO HALT MASSIVE AFFINITY FRAUD AND PONZI SCHEME AND AN ASSET FREEZE AND OTHER EMERGENCY RELIEF TO PRESERVE INVESTOR ASSETS On May 2, the Commission obtained a temporary restraining order, an asset freeze, and other emergency relief, in a civil action filed against several individuals and entities alleged to be perpetrating an ongoing affinity fraud and Ponzi scheme. According to the complaint, defendants have defrauded hundreds of investors of over $12 million by promising returns of 100% or more within 60 days. The complaint alleges that defendants have been telling investors that these extraordinary profits were to be generated in part by helping an unnamed Saudi Arabian prince move gold from Israel through Luxembourg to the United Arab Emirates. In reality, according to the complaint, although some money has been paid out to investors, these funds appear to have come from new investor money, and substantial amounts of investor funds have been transferred to bank accounts controlled by the proposed defendants and relief defendants. Defendants have characterized the purported gold transaction to religiously devout investors as “deistically inspired” and “divinely guided.” For their roles in the alleged scheme, the SEC charges defendants Tri Energy, Inc., Marina Investors Group, Inc., H & J Energy Company, Lowell Decker, Robert Jennings, Henry Jones and Arthur Simburg with violations of Sections 5 and 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The SEC also named as relief defendants La Vie D’Argent, R.P.J. Investment Group, Inc., T.M.A. Investment Enterprises and Thomas Avery, who allegedly receiving investor funds to which they have no legitimate claim. [SEC v. California] (LR-19214) SEC SUES CHESAPEAKE CORPORATION AND FOUR FORMER EXECUTIVES IN FINANCIAL FRAUD CASE On May 3, the Commission filed a civil injunctive action in the United States District Court for the District of Columbia against Chesapeake Corporation, a company headquartered in Richmond, Virginia; William T. Tolley, Chesapeake’s former chief financial officer; Carlos A. Gonzalez, Chesapeake’s former corporate controller; William D. Wiseman, a former chief financial officer of Chesapeake’s former subsidiary, Chesapeake Display & Packaging (CD&P); and Douglas J. Rex, the former controller of CD&P’s largest business unit, U.S. Display. Without admitting or denying the allegations of the Commission’s complaint, four of the defendants have agreed to settle this matter by consenting to the entry of final judgments against them. The fifth, defendant Rex, has consented to the entry of a judgment which imposes injunctive and other non-monetary relief against him but defers for determination by the Court the amount of civil money penalty he will be ordered to pay. The Commission’s complaint alleges, among other things, that the defendants engaged in a financial fraud which resulted in Chesapeake materially misstating its reported quarterly earnings for the first and second quarters of 2000 and its anticipated earnings for the third quarter of 2000. Specifically, the complaint alleges that, in an effort to bolster CD&P’s flagging financial performance and forestall a possible sale of CD&P, Wiseman and Rex improperly recorded revenue and delayed recording write-offs which had the result of materially overstating Chesapeake’s net income for the first quarter of 2000, and smoothing improperly the earnings impact of the delayed write-offs over the second and third quarters of 2000. Tolley and Gonzalez knew, or were reckless in not knowing, of certain of the improper accounting practices prior to Chesapeake’s filing of its first and second quarter financial statements with the Commission in quarterly Forms 10-Q, which Tolley signed in his capacity as Chesapeake’s chief financial officer and Senior Vice President of Finance, and Chesapeake’s issuance of an October 2, 2000 press release announcing its anticipated third-quarter earnings. As alleged in the complaint, these improper accounting practices included: failing to offset $1 million in credit memos issued by U.S. Display to its customers in the first quarter of 2000 against first quarter 2000 revenues, and then improperly amortizing the $1 million in credit memos over the second and third quarters of 2000; failing to correct a $4.8 million overstatement of inventory in the first quarter 2000, opting instead to improperly amortize the $4.8 million incrementally over the second and third quarters of 2000; improperly recognizing a purported $1.5 million contingent receivable in the first quarter of 2000; and failing to write off approximately $1.1 million of this same receivable in the second quarter of 2000 when it became apparent that U.S. Display was unlikely to collect that amount, opting instead to improperly amortize the uncollectible portion in $214,000 increments each month through the close of the fiscal year. In addition to the foregoing, the complaint also alleges that Rex posted two unsupported and fictitious journal entries, which Wiseman approved, that artificially increased U.S. Display’s third-quarter 2000 earnings by $7.3 million in order to meet the earnings forecast previously provided to Chesapeake’s senior management. These false journal entries were discovered before Chesapeake filed its third-quarter Form 10-Q with the Commission. Chesapeake undertook an internal investigation that identified certain of the accounting improprieties alleged in the complaint. In November 2000, Chesapeake restated its reported earnings for the first and second quarters of 2000 in filings with the Commission, and reduced its previously announced earnings for the third quarter of 2000. Based on the facts alleged, the Commission charged the following violations: * Chesapeake was charged with: (i) securities fraud in violation of Section 10(b) of the Securities Exchange Act of 1934 (the “Exchange Act”) and Exchange Act Rule 10b-5; and (ii) with violating the reporting, books-and- records and internal controls provisions of Exchange Act Sections 13(a), 13(b)(2)(A), and 13(b)(2)(B) and Exchange Act Rules 12b-20 and 13a-13; * Tolley, Gonzalez, Wiseman and Rex were each charged with: (i) securities fraud in violation of Exchange Act Section 10(b) and Exchange Act Rule 10b-5; (ii) knowingly falsifying Chesapeake’s books, records, and accounts, and circumventing or failing to implement internal accounting controls, in violation of Exchange Act Section 13(b)(5) and Exchange Act Rule 13b2-1; and (iii) aiding and abetting Chesapeake’s violations of Exchange Act Sections 13(a), 13(b)(2)(A), and 13(b)(2)(B), and Exchange Act Rules 12b-20 and 13a- 13; and * Tolley was charged with making false representations to Chesapeake’s outside auditors, in violation of Exchange Act Rule 13b2-2, in connection with the outside auditors’ reviews of Chesapeake’s first and second quarter 2000 financial statements. Without admitting or denying the allegations of the complaint, all of the defendants have agreed to settle the Commission’s charges by consenting to the entry of final judgments (or, in the case of Rex, a judgment) that, if approved by the Court, would permanently enjoin each of them from further violations of the federal securities laws. In addition, Wiseman and Rex have consented to be permanently barred from serving as officers or directors of any public company. Tolley and Wiseman have consented to pay civil penalties in the amount of $50,000 each, and Gonzalez has consented to pay a civil penalty of $45,000. Rex has consented to the entry of a judgment which defers for determination by the Court the amount of civil penalty he will be ordered to pay. Based upon the Court’s anticipated entry of a final judgment permanently enjoining him, Wiseman has also consented to the Commission’s issuance of an administrative order, pursuant to Rule 102(e)(3) of the Commission’s Rules of Practice, that will suspend him from appearing or practicing before the Commission as an accountant.
