Banhazl, and the Division of Enforcement, from the decision of an administrative law judge. Borgardt was formerly an officer and director of Target Income Fund, a now-defunct registered investment company. Banzhal was formerly an officer of Target Income Fund. The law judge found that Borgardt and Banhazl caused, within the meaning of Section 8A of the Securities Act of 1933 and Section 9(f) of the Investment Advisers Act of 1940, Target Income Fund to file registration statements with the Commission between 1992 and 1996 that omitted material information in violation of Sections 17(a)(2) and 17(a)(3) of the Securities Act and Section 34(b) of the Advisers Act. The law judge also found that some of the omissions charged were not material. The law judge ordered Borgardt and Banhazl to cease and desist from causing any violations or future violations of Sections 17(a)(2) and 17(a)(3) of the Securities Act and from committing any violations or future violations of Section 34(b) of the Investment Company Act. Among the issues likely to be argued are: 1. Whether respondents committed the alleged violations; 2. Whether the omissions charged were material as a matter of law; and 3. SEC VOTES TO MANDATE ELECTRONIC FILING OF OWNERSHIP REPORTS; PROHIBIT IMPROPER INFLUENCE OF AUDITORS On April 24, the Commission voted to require that reports by insiders disclosing their securities holdings be filed electronically with the SEC. The Commission also voted to adopt rules prohibiting company officials from improperly influencing auditors of financial statements. 1. The Commission voted to mandate the electronic filing of beneficial ownership reports filed by officers, directors and principal security holders under Section 16(a) of the Securities Exchange Act of 1934, and to require issuers with corporate websites to post these reports. Electronic filing and website posting of these reports will result in earlier public notification of insiders' transactions and wider public availability of information about those transactions. The new rules and amendments implement the requirements of Section 16(a)(4), as amended by Section 403 of the Sarbanes-Oxley Act of 2002. Under the new rules and amendments: o Mandated electronic filing will apply to Forms 3, 4 and 5. To facilitate this, a new on-line filing system for these forms has been created. o Forms 3, 4 and 5 submitted by direct transmission on or before 10 p.m. Eastern time will be deemed filed on the same business day. In light of these extended filing hours, temporary hardship exemptions will not be available for these forms. o An issuer that maintains a corporate website will be required to post on that website all Forms 3, 4 and 5 filed with respect to its equity securities by the end of the business day after filing. An issuer will be able to satisfy this requirement by providing direct access, or by hyperlinking to a third-party website (such as EDGAR) if certain conditions are satisfied. In addition, the new rule amendments will eliminate magnetic cartridges as a means of filing any form electronically. These new rules and amendments will become effective on June 30, 2003. 2. The Commission adopted amendments to Regulation 13B2 that implement Section 303 of the Sarbanes-Oxley Act of 2002. The new rules prohibit officers and directors of an issuer, and persons acting under the direction of an officer or director, from coercing, manipulating, misleading, or fraudulently influencing the auditor of the issuer's financial statements if that person knew or should have known that such action could render the financial statements materially misleading. These amendments will be effective thirty days after their publication in the Federal Register. The full text of the adopting release for the new rules and amendments will be posted on the SEC website as soon as possible. (Press Rel. 2003- 51) RULES AND RELATED MATTERS COMMISSION STATEMENT OF POLICY REAFFIRMING THE STATUS OF THE FASB AS A DESIGNATED PRIVATE-SECTOR STANDARD SETTER The Commission has issued Financial Reporting ReleaseNo. 70 reaffirming that it will continue to recognize pronouncements of the Financial Accounting Standards Board (FASB) as constituting generally accepted accounting principles for purposes of filings with the Commission. The Commission's review of its longstanding policy of recognizing FASB pronouncements as constituting generally accepted accounting principles is in response to provisions under the Sarbanes-Oxley Act which establish specific criteria that must be met for an accounting standard- setting body's work product to be recognized as "generally accepted" by the Commission. (Rel. 33-8221; 34-47743; IC-26028) ENFORCEMENT PROCEEDINGS SEC INSTITUTES SETTLED CEASE-AND-DESIST AND 102(e) PROCEEDING AGAINST AUDITORS DAVID DECKER AND THEODORE FRICKE FOR REPORTING VIOLATIONS AND IMPROPER PROFESSIONAL CONDUCT On April 24, the Commission instituted and simultaneously settled a cease-and-desist and Rule 102(e) proceeding against David Decker and Theodore Fricke arising from their conduct when performing the year-end audit of 1998 results for Chancellor Corporation. Decker, 62, of Dunwoody, Georgia, is a partner at the audit firm BKR Metcalf Davis (Metcalf Davis). In Metcalf Davis' audit of Chancellor's 1998 financial statements, Decker was responsible for conducting an impartial review of the audit workpapers as part of the firm's quality control function. He also performed audit steps to determine the appropriate date for consolidation of Chancellor's results with that of a subsidiary it acquired during 1998. Fricke, 53, of Lawrenceville, Georgia, was a partner of Metcalf Davis from 1989 until August 1999. He served as the concurring partner in Metcalf Davis' audit of Chancellor's 1998 financial statements. The Commission found that Decker and Fricke willfully violated Section 10A of the Exchange Act, requiring auditors to report suspected management fraud, and caused Chancellor's violations of the reporting provisions, Section 13(a) of the Exchange Act and Rules 12b-20 and 13a- 1, in connection with its 1998 Form 10-KSB. In addition, the Commission found that Decker and Fricke engaged in improper professional conduct as auditors by failing to conduct their audit in accordance with generally accepted auditing standards (GAAS). Decker failed to obtain evidentiary support or to exercise professional due care in determining the proper acquisition for Chancellor's subsidiary. Fricke failed to exercise professional due care as concurring partner by failing to conduct an objective independent review to ensure that the audit had been conducted in accordance with GAAS. Without admitting or denying the Commission's findings, Decker and Fricke consented to an order requiring them to cease and desist from committing or causing any violation, and any future violation, of Section 10A of the Exchange Act and from causing any violations and any future violations of Section 13(a) of the Exchange Act and Rules 12b-20 and 13a-1. In addition, Decker and Fricke consented to an order pursuant to Rule 102(e)(1) of the Commission's Rules of Practice, under which they are denied the privilege of appearing or practicing before the Commission as accountants, but have the ability to apply for reinstatement, Decker after three years and Fricke after two years. (Rel. 34-47731; AAE Rel. 1762; File No. 3-11091) SEC INSTITUTES SETTLED CEASE-AND-DESIST PROCEEDING AGAINST OUTSIDE DIRECTOR OF CHANCELLOR CORPORATION FOR VIOLATIONS OF SECTION 10(b) AND RULE 10b-5 OF THE SECURITIES EXCHANGE ACT OF 1934 AND FINANCIAL REPORTING, RECORD-KEEPING AND INTERNAL CONTROLS PROVISIONS On April 24, the Commission instituted and simultaneously settled an administrative cease-and-desist proceeding against Michael Marchese, a former outside director of Chancellor Corporation, in which the Commission found that Marchese recklessly ignored signs pointing to improper accounting treatment, thereby allowing Chancellor's management to orchestrate a fraudulent financial reporting scheme. The Commission concluded that Marchese acted recklessly in signing Chancellor's Form 10- KSB for 1998, without taking any steps to ensure that it did not contain materially misleading financial statements. In addition, Marchese did not fulfill his responsibility as a director to ensure that Chancellor maintained accurate books and records and adequate internal controls. The Commission found that by signing Chancellor's 1998 Form 10-KSB with reckless disregard for its truth or falsity, Marchese violated and caused Chancellor to violate Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, which prohibit untrue statements or omissions of material fact, and that Marchese caused Chancellor's violations of the periodic reporting, recordkeeping and internal controls provisions of the federal securities laws, Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act, and Rules 12b-20 and 13a-1. Without admitting or denying the Commission's findings, Marchese consented to an order requiring him to cease and desist from committing or causing any violation, and any future violation, of these provisions. (Rel. 34-47732; AAE Rel. 1764; File No. 3-11092) COMMISSION FILES SETTLED ADMINISTRATIVE PROCEEDING AGAINST KEVIN DEVOTO On April 25, the Commission filed a settled administrative proceeding against Kevin M. Devoto of Dallas, Texas, pursuant to Section 15(b) of the Securities Exchange Act of 1934. Devoto submitted an Offer of Settlement in which, while neither admitting nor denying the Commission's findings, he consented to the entry of an order barring him from association with any broker or dealer. The Order was based on an injunction entered against Devoto for offering and selling unregistered securities in the form of purported Transworld Bankers "certificates of deposit" and his conviction of a felony in connection with such offers and sales. (Rel. 34-47736; File No. 3-11093) COMMISSION FILES EMERGENCY ACTION AGAINST 1ST ATLANTIC GUARANTY CORPORATION The Commission announced that on April 23 it filed an emergency civil action in the United States District Court for the District of Maryland, against defendant 1st Atlantic Guaranty Corporation (1st Atlantic), of Bethesda, Maryland. 1st Atlantic is a face-amount certificate company registered with the Commission pursuant to the Investment Company Act of 1940. A face-amount certificate company is a specialized type of investment company that issues fixed-income debt securities, agreeing to pay the principal amount of the instruments plus accrued interest on maturity. The Honorable Catherine C. Blake, upon motion of the Commission, entered emergency relief, including a temporary restraining order and freeze of payments to certificate holders, against the defendant, and scheduled a hearing on the Commission's motion for appointment of a receiver for May 5, 2003, with a preliminary injunction hearing to be scheduled thereafter. First Atlantic, without admitting or denying the allegations of the complaint, consented to the entry of the temporary restraining order and freeze of payments. The Commission's complaint charges 1st Atlantic with violating Sections 28(a) and 28(b) of the Investment Company Act, and seeks permanent injunctive relief. The complaint alleges that, from at least September 2001 to the present, as a result of the transfer of certain assets previously held by it, 1st Atlantic has been and is operating with reserves well below the legal minimum required by the Investment Company Act. Between 1998 and 2002, the former chief executive officer and chairman of 1st Atlantic diverted approximately $1 million from 1st Atlantic and transferred assets with a value of more than $2.8 million to a subsidiary without consideration. The complaint further alleges that, in an attempt to cover its reserve deficiency, in September 2001, 1st Atlantic began to improperly count the value of the common stock of its subsidiary, State Bond and Mortgage Company, LLC (State Bond) as a "qualified investment." However, the stock of State Bond is not a qualified investment, as defined under the Investment Company Act and, therefore, cannot be counted by 1st Atlantic towards its reserve requirement. Without that asset, 1st Atlantic has qualified investments of only $450,000 to pay certificate liabilities of more than $4 million and is operating in violation of the reserve requirements. Under the terms of the certificates, holders are entitled to demand immediate redemption repayment (with a small penalty and subject to First Atlantic's right to defer payment for up to thirty days) and investors who seek immediate payment could dissipate the remaining assets of the company to the detriment of other investors. The Commission's motion for emergency relief sought to address these concerns. [SEC v. 1st Atlantic Guaranty Corporation, Civil Action No. 03-CV-1213 DKC (D. Md.)] (LR-18103A) SEC SUES FORMER TOP OFFICERS, DIRECTORS AND AUDITORS OF CHANCELLOR CORPORATION FOR FINANCIAL FRAUD The Commission yesterday charged Chancellor Corporation, a Boston transportation equipment company, four of the company's former senior officers, a former outside director, the company's audit firm and the audit firm's engagement partner with securities fraud. The action, filed in federal court in Boston, alleges that from 1998 through 2001, Brian Adley of Lexington MA, Chancellor's former Chairman, CEO and controlling shareholder, orchestrated a scheme to inflate Chancellor's reported assets, revenue and profits using fabricated documents and fraudulent accounting. According to the suit, Chancellor made false public financial filings in 1999 overstating its revenue by 177 %, its net profit by 73% and its assets by 12%, and false public filings in 2000 overstating its assets and income by 32% to 173%. The Commission also instituted two settled administrative actions, one against another outside director for recklessly signing one of Chancellor's false filings and one against two other members of the auditing firm. Former officers of the company named as defendants in the civil suit were Chancellor's former President and Chief Operating Officer, Franklyn E. Churchill of Swampscott MA its former acting Chief Financial Officer and consultant, David C. Volpe of Stoughton MA and Jonathan Ezrin of Plymouth MA, who variously served as the company's Principal Accounting Officer, Corporate Treasurer and Controller. Also named as defendants were a former director of the company, Rudolph Peselman of Newton MA, BKR Metcalf Davis, an Atlanta GA accounting firm that served as Chancellor's auditors from 1999 to 2001, and Gregory Davis of Lilburn GA, a partner and CPA at the firm. Those named as respondents in the settled administrative actions were a former director of the Chancellor, Michael Marchese of Trumbull CT, and two partners and CPAs at the accounting firm, Theodore Fricke of Lawrenceville GA and David Decker of Dunwoody GA. No. 03-10762 MEL] (LR-18104; AAE Rel. 1763) SEC OBTAINS SUMMARY JUDGMENT AGAINST COMPANY'S STOCK PROMOTER The Commission announced that on April 16 U.S. District Court for the Southern District of Florida entered an Order Granting SEC's Motion for Summary Judgment and Entering Final Judgment of Permanent Injunction and Other Relief against Defendant Stuart Bockler (Final Judgment). The Final Judgment enjoins Bockler from violating Section 17(a) and 17(b) of the Securities Act of 1933 (Securities Act), Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, Orders Bockler to pay disgorgement in the amount of $174,616.16, with prejudment interest in the amount $7,985.16, and imposes a civil penalty of $110,000. On Dec. 26, 2001, the SEC filed a complaint against Bockler and others in connection with stock promotional activities on behalf of Global Datatel, Inc. ("Global" or "the Company"), a company whose common stock was quoted on the Over-the-Counter Bulletin Board. Global hired Bockler, a public relations consultant, to disseminate reports to the investment community about the Company in exchange for shares of Global stock. The SEC's Complaint alleged that from January 1999 through October 1999, Bockler drafted and disseminated at least one dozen glowing reports about Global containing baseless price projections and making "BUY" and "STRONG BUY" recommendations while, at the same time, selling his own shares of the Company's stock. Moreover, Bockler never disclosed in his reports the compensation he was paid by Global, or that he was selling his Global stock. In granting summary judgment in favor of the SEC, Judge Kenneth Ryskamp held that Bockler's conduct constituted a "classic case of `scalping'," in violation of the antifraud and anti-touting provisions of the federal securities laws. Previously, on Feb. 19, 2002, the Court entered a Judgment of Permanent Injunction and Other Relief against Global, upon the consent of its bankruptcy trustee. On May 6, 2002, the Court entered Judgments of Permanent Injunction and Other Relief against Richard Baker (former CEO of Global) and Mario Habib (president of Global's subsidiary, eHola.com, Inc.), by their consent, enjoining them from violating Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. Baker and Habib were ordered to pay civil penalty in amounts of $25,000 and $15,000, respectively. [SEC v. Fla.)] (LR-18105) FINAL JUDGMENT ORDERING PERMANENT INJUNCTION, DISGORGEMENT AND PRE-JUDGMENT INTEREST AGAINST TERRI SCOTT The Commission announced that on Feb. 21, 2003, the Honorable Robert Blackburn, U.S. District Judge for the District of Colorado, entered a Final Judgment of Permanent Injunction and Other Relief Against Defendant Terri R. Scott. The Commission charged that Scott, while a member of the management of Fischer Imaging Corporation, engaged in several instances of insider trading in Fischer stock in advance of a press release concerning failure to meet anticipated earnings. Scott consented to the order which permanently enjoins and restrains her from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5.
