SEC NEWS DIGEST Issue 2003-53 March 20, 2003 COMMISSION ANNOUNCEMENTS DIVISION OF CORPORATION FINANCE APPOINTS PAMELA LONG ASSISTANT DIRECTOR The Division of Corporation Finance today announced the appointment of Pamela A. Long as Assistant Director for the Division's Office of Manufacturing and Construction. Long, 39, joined the Commission as a staff attorney in 1996 following six years in private practice. She has served in various capacities in the Division's Disclosure Operations program and, since June 2001, has been Special Counsel in the Office of Consumer Products. As Assistant Director, Long will have broad responsibility directing, supervising and coordinating the review and processing of documents filed by public companies under the federal securities laws. Long is a graduate of the University of Maryland and the University of Michigan Law School. WILLIAM TOLBERT JR., ASSOCIATE DIRECTOR, DIVISION OF CORPORATION FINANCE, TO LEAVE COMMISSION The Commission announced that William L. Tolbert Jr., Associate Director of the Division of Corporation Finance, will leave the SEC and join the private sector. Tolbert joined the SEC's Corporation Finance Division in 1988. Tolbert was named an Associate Director of Disclosure Operations in 2000. Prior to that he served as an Assistant Director of the office in charge of reviewing filings by companies in the transportation and leisure industries. "Bill Tolbert has been an enormous contributor to the work of the Division and the SEC and an example for us all," said Alan Beller, Director of the Division of Corporation Finance. "The SEC is a great organization, and it is axiomatic that in great organizations no one is indispensable. Bill's departure will put that axiom to a stern test." Tolbert said, "Serving the public and the Commission has been a magnificent experience. It has been an honor to play a role in protecting investors and an inspiration to work with such dedicated and talented colleagues in the Division of Corporation Finance." Tolbert, 40, is a graduate of the Ohio State University and Case Western Reserve University Law School. (Press Rel. 2003-37) SEC ESTABLISHES NEW WEB SITE FOR CREATING AND FILING OWNERSHIP FORMS The SEC today announced the establishment of a new internet Web site at https://www.onlineforms.edgarfiling.sec.gov exclusively for the on-line creation and submission of Securities Exchange Act of 1934 Section 16(a) ownership reports (Forms 3, 4, and 5). The Web site will be available on or about March 24, 2003, for the creation and submission of "test" filings of these forms to the EDGAR system. We have designed the Web site to make it easier for individuals to satisfy the electronic filing obligations that will apply to them when electronic submission of these forms is mandated later this year. See Release 33-8170 at http://www.sec.gov/rules/proposed/33-8170.htm. We encourage individuals, companies and filing agents to use the new Web site to create and submit "test" filings and to provide us with their comments or suggestions for improving the system as soon as possible. We anticipate that the test system will be available for approximately 30 days. After April 25, 2003, the test system will go "live" and filers will no longer be able to make Form 3, 4, or 5 filings using the existing EDGAR template system. From that time until the date the mandated electronic filing rules become effective, filers will need to file Forms 3, 4 and 5 electronically, using either the new on-line Web site system or private company software products, or in paper. Because of the changes that were made to the EDGAR system to accommodate the new Web site transmissions, private vendors will need to conform their specialized ownership submission software to the new configuration. The draft reduced content XML specifications are at http://www.sec.gov/info/edgar/edgar85xmlspec.htm on our Web site. To ensure that the software functions properly, vendors may now submit "test" filings of Forms 3, 4 and 5 using software that conforms to these reduced content specifications directly to https://www.onlineforms.edgarfiling.sec.gov. Instructions for using the new Web site system to submit filings are included in Volume III of the EDGAR Filer Manual, Version 8.5. A draft version of the manual is available on the SEC's Web site at http://www.sec.gov/info/edgar/filermanual85.htm. The new system is browser-based, provides for limited error checking of header information and allows for footnotes and exhibit attachments. The system also allows filers to print copies of Forms 3, 4, and 5 in the format currently used for paper submissions. The public will see the filings in this same format on the SEC's Web site (www.sec.gov), once the system accepts "live" submissions. ENFORCEMENT PROCEEDINGS COMMISSION SUSTAINS NASD DISCIPLINARY ACTION AGAINST ROBERT TRETIAK On March 19, the Commission sustained NASD disciplinary action in two proceedings brought against Robert Tretiak of Las Vegas, Nevada. In the first matter, the NASD found that Tretiak violated its rule requiring that NASD members and their associated persons, in the conduct of their business, observe high standards of commercial honor and just and equitable principles of trade by failing to satisfy an arbitration award entered in 1994. For this misconduct, the NASD fined Tretiak $10,000, suspended him until he pays the arbitration award in full, plus an additional 30 days, and ordered that, if the award is not paid in full within 30 months of its decision, Tretiak's suspension will convert to a bar in all capacities. In the second matter, the NASD found that Tretiak violated the antifraud provisions of the federal securities laws and the NASD's antifraud and business conduct rules by fraudulently selling IPO securities in Retirement Financial Centers of America, Inc., a company he headed. Tretiak was found to have used a materially misleading prospectus in his sales, to have violated the contingency requirements contained in the IPO prospectus, and to have failed properly to establish an escrow account that operated in accordance with the contingency terms specified in the IPO prospectus. For these violations, the NASD barred Tretiak as a principal, suspended him in all capacities for two years and six months, and fined him $25,000. The Commission sustained both the NASD's findings of violation and the sanctions imposed by the NASD in the two matters. (Rel. 34-47534; File No. 3-10424) KENNETH WARD BARRED The Commission has found that Kenneth Ward, formerly a salesman with Government Securities Corporation of Texas, violated antifraud provisions of the securities laws in connection with the sale of inverse floater securities to two municipalities, League City, Texas and City of Bryan, Texas, during the early 1990s. On March 19, the Commission barred Ward from association with any broker or dealer. Ward also was ordered to cease and desist from committing or causing any violation, or future violation, of the provisions he was found to have violated, and ordered to pay a civil money penalty of $100,000 and $249,711 in disgorgement, plus prejudgment interest. According to the Commission, Ward's actions, "compromised the fiscal integrity of two different communities" and warranted "severe sanctions." (Rels. 33-8210; 34- 47535; File No. 3-9327) COMMISSION SETS ASIDE FINAL ACTION OF CHICAGO BOARD OPTIONS EXCHANGE, INC. TERMINATING TOWER TRADING, L.P.'S APPOINTMENT AS A DESIGNATED PRIMARY MARKET- MAKER On March 19, the Commission set aside the final action taken by the Chicago Board Options Exchange, Inc. (CBOE) against Tower Trading, L.P., that terminated Tower's appointment as a Designated Primary Market-Maker (DPM). Tower had been appointed by CBOE as a DPM. In this capacity, Tower operated as a market maker, a floor broker, and in place of the order book official in appointed option classes, and was responsible for assuring the accuracy of disseminated market quotations. CBOE conducts periodic performance evaluations of its members, including Tower. Tower received multiple evaluations indicating poor DPM performance. In response, CBOE conducted a formal hearing and terminated Tower's DPM appointment. Tower appealed this decision. Without addressing the merits of Tower's appeal, the Commission determined that CBOE conducted a procedurally deficient hearing that rendered it unfair. The Commission ordered that the termination decision be set aside. The Commission's action does not preclude CBOE from terminating Tower's appointment following a fair hearing, if CBOE determines that such action is warranted. (Rel. 34-47537; File No. 3- 10359) ADMINISTRATIVE PROCEEDING AGAINST DANOO NOOR, SR. On March 20, an Administrative Law Judge issued an Order Making Findings and Imposing Remedial Sanctions By Default against Danoo Noor, Sr. The Order Instituting Proceedings alleged that, between June 1997 and December 1998, Noor engaged in misconduct in the accounts of several of his customers. His violations involved unsuitable trading, churning, and making materially misleading statements and omissions. The default order finds that Noor, acting with scienter, committed the misconduct alleged. Based on the foregoing, the default order finds that Noor willfully violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. The default order bars Noor from association with any broker or dealer; orders that Noor cease and desist from committing or causing violations or future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act, and Rule 10b-5 thereunder; and orders that Noor pay a civil penalty of $110,000, and disgorge $125,082, plus prejudgment interest. (Rels. 33-8211; 34-47544; File No. 3-10765) FORMER GOLDEN BEAR EXECUTIVES ARRESTED ON FEDERAL SECURITIES FRAUD CHARGES On March 18, the U.S. Attorney for the Southern District of Florida announced the indictment and arrest of John R. Boyd and Christopher Curbello, for securities fraud and conspiracy to commit securities fraud. Previously, on August 1, 2002, the Commission filed fraud charges against Curbello and Boyd in the United States District Court for the Southern District of Florida. Boyd is the former president of Paragon Construction International, Inc., which was a wholly owned subsidiary of Golden Bear Golf, Inc. Curbello was Paragon's vice president for operations. The Indictment and the Commission's civil complaint allege that Boyd and Curbello artificially inflated and accelerated Paragon's revenue and gross margin recognition by misrepresenting the true status of its construction contracts, causing Golden Bear to file false and misleading financial statements for its 1997 fiscal year and for the first quarter of 1998. Curbello was arrested on March 14, 2003, in San Antonio, Texas, and has a pre-trial detention hearing in San Antonio on Thursday, March 20, 2003. Boyd was apprehended on March 18, 2003, in Bogot , Colombia, by the FBI and the Secret Service, and is scheduled to appear in United States Magistrate's Court today in West Palm Beach. An order has been issued under Section 11(a) of the Investment Company Act granting Lincoln National Life Insurance Company (Lincoln Life), Lincoln National Variable Annuity Account E (Account E), Lincoln National Variable Annuity Account H (Account H) and American Funds Distributors, Inc. (AFD) approving the terms of a proposed enhancement offer for certain variable annuity contracts whereby owners of the contracts would receive an additional benefit and become subject to a new contingent deferred sales charge.
